Overview

As a Governance Program Coordinator, Paralegal you will play a critical role within the bank's Legal Department. This position supports the Board of Directors, Board committees, and corporate governance of the bank. You will also provide administrative and operational support for the bank's in-house legal counsel and the Board. This role creates and maintains legal documentation while supporting the continuous improvement of legal processes and capabilities to meet evolving business needs. 
Responsibilities
  • Board Support – Works directly with the Board of Directors and Board committees as well the Corporate Secretary and Assistant Chief Legal Counsel in coordinating and managing board governance responsibilities. Provides assistance with annual Directors’ and Officers’ questionnaires, the proxy statement, and other governance filings. Manages and maintains corporate books and records in accordance with applicable laws and regulations and firm policies. Prepares meeting agendas, resolutions, and other board and governance documents. Works with other business leaders to ensure regulatory compliance and production of documents in response to regulatory requests. Provides substantive assistance on bank policies, standards, and operations related to Board and governance roles. Reviews Legal Department processes and procedures, identifying areas for enhancement and efficiencies. Provides research and assistance. Maintains flexibility in responding to evolving needs and business demands.
  • Documentation - Drafts, revises, and maintains corporate governance documents, resolutions, agendas, letters, checklists, legal forms, and templates.
  • Communication – Communicates directly in-person, by telephone, by videoconference, and by email with directors, officers, and other business leaders and associates. Is engaging, professional, and relationship oriented and must communicate clearly and effectively.
Qualifications

Bachelor's Degree and 2 years of relevant experience as a Paralegal or Legal Assistant with a firm or in the financial services industry, or experience with an organization with specific emphasis on governance or board support

OR High School Diploma or GED and 6 years of relevant experience as a Paralegal or Legal Assistant with a firm or in the financial services industry,or experience with an organization with specific emphasis on governance or board support

    License or Certification Type: Certificate of completion from an ABA-approved paralegal certification program a plus
