Job Title: Corporate Paralegal

POSITION SUMMARY: 

We are looking for a talented and motivated Corporate Paralegal to support our growing Legal Team. An ideal candidate will have the desire to support rigorous growth. Corporate Paralegal will work closely with the General Counsel in managing day to day aspects of corporate structure and governance.  The role will involve support for Board meetings and related materials; assistance with US and international corporate matters; and working independently with internal finance, outside counsel and auditors. The selected candidate will be responsible for coordination and project management in a range of subject matter areas including corporate governance, third party risk management, document management and retention, investor relations, stock plan administration, litigation (as needed), and IP. This position reports to the General Counsel.

POSITION RESPONSIBILITIES: 

  • All aspects of maintaining corporate books and records, including for the public company and domestic and international subsidiaries, including management of corporate entities and foreign registrations/reporting, forming, merging and dissolving, annual and other periodic regulatory filings, maintaining minute books and board elections, and beneficial ownership registers.
  • Assist corporate secretary with board of directors and committee matters.
  • Maintain corporate structure chart, subsidiary lists, entity charts, and officer/director designations for entities.
  • Assist with, obtain and distribute notarizations, apostilles, legalized documents, certified copies, corporate filings and other corporate documents as needed.
  • Manage and respond to requests for information and documents from the Company’s auditors and finance departments.
  • Assist with legal aspects of projects in collaboration with the human resources team.
  • Collaborate with cross-functional teams to support financings, and other strategic transactions, including providing support and project management for due diligence and corporate structures.
  • Identify, design, and implement new processes, procedures and technology solutions to improve the Corporate legal group’s efficiency, productivity, and communication.
  • Support other special projects, including research, organization and project management.
  • Provide excellent customer service to colleagues at all levels both within and outside the Legal team by responding to inquiries and requests for assistance in a timely and professional manner.
  • Performs other related duties as assigned.

 REQUIRED SKILLS:

  • 5+ years’ experience as a corporate paralegal.
  • Experience at a public company (preferred) 
  • Excellent verbal and written communication skills.
  • Excellent interpersonal and customer service skills.
  • Excellent organizational skills and attention to detail.
  • Ability to autonomously manage and meet deadlines. 
  • Strong analytical and problem-solving skills.
  • Ability to maintain confidentiality, and to exercise great discretion and judgment. 
  • Proficient with relevant equity management software systems and board portals, Microsoft Word and Excel.
  • Helpful to have knowledge of Google Suite, Cap table management tools, and Contracts life cycle management tools.
