DESCRIPTION

Cox Enterprises is hiring a Senior Paralegal - Entity Management and Compliance to join our team! The Senior Paralegal will be responsible for entity management and entity compliance for Cox Enterprises, Inc. and all its U.S. and international subsidiaries.

 

Primary Responsibilities:   

  • Maintain, update, and organize entity records, including entity formations, withdrawals, DBAs, organizational charts, mergers, and qualifications.

  • Operate and serve as system administrator of Diligent Entities database software for corporate records, entity management, user access, and training.

  • Integrate new entities upon their acquisition, including collecting and uploading governance documents, state audits, amending and restating governance documents, stock recapitalizations as requested by Tax, and updating Diligent Entities records.

  • Work closely with a registered agent (CSC) on entity compliance, including timely filing domestic and global annual reports, DBA renewals, managing invoices across divisions, large and small scale domestic and global registration projects, and Texas public information reports.

  • Prepare secretary certificates and consents and research historical entity information for real estate transactions.

  • Support the Tax department with financial contributions, stock recapitalizations, entity restructurings, annual report filing data, and FEIN number applications.

  • Provide governance documents and organizational charts quarterly, upon request, and in connection with financing and M&A transactions.

  • Stay current on best practices in entity management, and develop templates, plans, and processes.

  • Communicate and process entity data with multiple other external and internal sources (e.g., licensing team, treasury, Tax, risk management, and accounting).

  • Prepare unanimous written consents for subsidiary boards and shareholder approvals, including real estate transactions and entity updates.

  • Manage Diligent Entities and CSC relationships. 

  • This is a self-starter role and requires simultaneously completing multiple projects across different stakeholders. In addition, you will need to provide exceptional customer support to corporate departments and divisions on all entity management requests. This is a hybrid position with the office in Atlanta, Georgia, or full-time in the office if that is your preference. This position reports to the Assistant General Counsel, Corporate Growth & Transactions.

 

Job Requirements:  

  • Minimum of 8 years of paralegal experience. The right candidate could also have a different combination of education and work experience.

  • Advanced experience working with Diligent Entities database software is preferred, and strong aptitude to quickly learn new systems.

  • Experience working with international entities is preferred but not required.

  • Requires strong knowledge of entity management 

  • Paralegal Certificate from an ABA-accredited program is preferred. 

  • Possess strong management skills and the ability to motivate and work with others to achieve desired results. 

  • Demonstrated ability to interact and collaborate effectively with all levels of personnel and interpret and communicate complex legal subject matter in clear and simple terms.

  • Demonstrated ability to work with minimum supervision and work independently and collaboratively towards the completion of projects and strong attention to detail. 

  • Experience in developing, standardizing, and managing work processes and protocols.
