Cvent is seeking an In-House Corporate and Securities Counsel to join our Legal Department at our corporate headquarters located in our Tysons Corner, VA. The successful candidate will have experience in corporate law and securities regulations and will provide legal advice and guidance to senior management and other stakeholders on various corporate, corporate governance, M&A and securities law matters.

In This Role, You Will:
  • Provide support to the Company’s Board of Directors and Corporate Secretary, including the preparation and review of materials for Board of Director meetings
  • Manage and administer certain corporate governance policies, including the Company’s Code of Conduct and Whistleblower Policy
  • Collaborate and provide legal guidance on external communications
  • Monitor and maintain awareness of pending regulations and developments that are relevant to the Company’s business interests
  • Assist with special corporate projects, including privacy initiatives, financing agreements and compliance, as well as strategic and M&A transactions (including legal due diligence and closings)
  • Support, implement and monitor post-closing actions (indemnification, earn-outs, post-closing adjustments, etc.)
  • Partner with finance, accounting, marketing and communications on a regular basis
  • Work closely with the stock plan administration team on equity-related matters, including employee communications.
  • Lead a cross-functional effort to advance environmental, social and governance (ESG) matters
  • With the support of Legal Ops, oversee all corporate matters and corporate governance, including legal entity rationalization, and ensure corporate records management
  • Provide support for other legal projects
Here's What You Need:
  • J.D. degree from an accredited, top tier law school
  • Admission to a State Bar, and in good standing with the Bar association
  • Minimum 3 – 5+ years’ experience as a corporate and securities attorney, either in-house or at a law firm
  • Strong knowledge of corporate and securities laws and regulations
  • Excellent analytical and problem-solving skills, with the ability to provide practical and effective legal advice
  • Self-starter who understands executing with urgency, and the ability to comfortably work in a fast-paced environment; accuracy and attention to detail are essential requirements for this position
  • Ability to work independently and as part of a team, and to manage multiple priorities and deadlines
  • Strong business acumen and the ability to understand and align legal advice with business objectives
  • Ability to communicate clearly, concisely and professionally with all levels of management regarding complex legal issues
  • High integrity and an unyielding commitment to compliance
  • Experience managing outside counsel
