Position Summary

The Senior Counsel, Commercial & LATAM will provide commercial legal advice and counsel to various internal teams, primarily to Under Armour’s global product supply, supply chain, and logistics teams. Support for these teams includes structuring, drafting, reviewing, analyzing, negotiating, and interpreting a wide range of contracts and related documents. This Senior Counsel will also oversee legal work for the LATAM region in collaboration with cross-functional subject matter experts, including providing general legal advice and counsel across multiple disciplines such as DTC, wholesale distribution, sports marketing, brand marketing, tax, import/export, compliance, and dispute resolution. This Senior Counsel will recommend and implement strategies with respect to various legal functions within the LATAM region, with accountability for cross-functional collaboration amongst various stakeholders. Additionally, this Senior Counsel will act as a business partner with teammates in connection with the engagement of external parties and the execution of various projects and initiatives.

Essential Duties & Responsibilities

  • Structure, draft, review, analyze, negotiate, and interpret manufacturing, sourcing, supply chain, logistics, transportation, and distribution agreements in partnership with the global product supply, supply chain, logistics, sustainability, and strategic procurement teams
  • Serve as lead counsel for the LATAM region and, in conjunction with LATAM leadership and subject matter experts on the global legal team, oversee the delivery of all legal services throughout the LATAM region
  • Structure, draft, review, analyze, negotiate, and interpret distribution, DTC, licensing, sports marketing, general services, general procurement, and other vendor contracts for the LATAM region
  • Support the Americas leadership team in connection with LATAM operations and support and advise on leadership strategies and execution thereof
  • Serve as a trusted business partner in defining business strategy, identifying business risks, and implementing company policies and procedures
  • Develop and maintain contract templates, support in development of business and legal processes and implement internal policies to help scale the business and ensure alignment with current business needs, policy demands, and legal trends
  • Educate business teammates on legal issues generally, including contract provisions and form agreements, terms and conditions, remedies, and indemnifications
  • Assist in negotiations to resolve contract disputes with third parties
  • Collaborate with other members of the legal team in connection with contract terms, relationships, and other legal matters as necessary
  • Manage outside counsels engaged to assist with discrete legal matters

Qualifications (Knowledge, Skills & Abilities)

  • Strong experience in structuring, drafting, negotiating and interpreting complex contracts and advising business clients throughout the contract lifecycle
  • Extensive experience supporting on commercial and general legal matters in the LATAM region
  • Superior analytic, writing, editing, and oral/written communication skills
  • Ability to prioritize, organize and work efficiently in a high-volume, results-oriented environment
  • Highly organized with strong problem-solving skills and a drive for efficiency
  • Ability to work independently, prioritize and manage expectations

Education And / Or Experience

  • Master of Laws (LLM) and/or Juris Doctor (JD), or foreign equivalent (e.g., LLB)
  • 10+ years of relatable experience in-house or law firm, with in-house commercial/contracts and LATAM experience with a global company or international law firm a plus
  • Candidate must be admitted to practice law and in good standing in a jurisdiction within the U.S., with admission or qualification to practice in the State of Maryland preferred; license to practice law within the LATAM region preferred

Other Requirements

  • Location: This individual must reside within commuting distance from our global headquarters in Baltimore, MD
  • Return To Work Designation: Three (3) days per week in-office, the remainder of work week remote
  • Language(s): Excellent verbal and written communication skills in Spanish and English required; fluency in Portuguese a plus
  • Travel: May require twice a year or quarterly travel in region, or ad hoc for special projects, based on company budget

Salary and Relocation

  • No relocation provided
  • Base salary range: $168,242.00 - $231,332.20 USD

Most new hires fall within this range and have the opportunity to earn more over time. Initial placement within the salary range, however, is based on an individual’s relevant knowledge, skills and experience for the position.
