BioUrja Advisors, LLC is the shared services company within BioUrja Group, LLC (“BioUrja” or the “Company”). Established in 2006, BioUrja was initially founded to supply physical bioethanol to the U.S. refining industry. BioUrja has since evolved into a conglomerate of companies focused on physical and financial trading of commodities involving ethanol (fuel, industrial and beverage), refined petroleum products, NGLs, power, agriculture, steel and specialty alloys, and midstream logistics as well as the operation of an ethanol plant that produces ¼ of the U.S.’s beverage alcohol. We count every major refining company as our customer, as well as most of the largest international trading houses and wholesalers. POSITION SUMMARY

BioUrja is hiring a Counsel to support the commercial, corporate and regulatory aspects of our business. This role will report directly to the General Counsel and will deal primarily with operations in the United States; however, our operations are global, and this role may involve legal issues associated with multiple industries across multiple jurisdictions. This is a transactional-focused role, with essential skills involving contract review, drafting and negotiation, excellent communication skills and the ability to work autonomously and take ownership of projects. 

RESPONSIBILITIES 

  • Provide strategic legal advice on matters (commercial, corporate and regulatory) that may arise involving the multiple industries that may impact BioUrja’s portfolio of companies.   
  • Support and advise on the acquisition/divestiture of assets, joint ventures and other M&A type matters. 
  • Collaborate with commercial, tax, accounting, credit, operations and risk management personnel to ensure that all contractual obligations, contract risk, and commercial impacts are identified and addressed. 
  • Manage the Company’s compliance obligations and key legal risks across multiple jurisdictions. 
  • Develop and advance internal corporate governance policies, as well as ensuring that all contracts, confirmations, and communications are in compliance with internal policies and procedures. 

REQUIREMENTS & QUALIFICIATIONS

  • Juris Doctor from an accredited law school.
  • Minimum two to three (2-3) years of relevant experience and licensed to practice law in the U.S. Large law firm experience a plus. 
  • Strong verbal and written communication skills; fluency in english.
  • Critical thinking, attention to detail, strong problem-solving skills and ability to take ownership of matters.
  • Strong drafting and negotiation skills. 
  • Ability to operate in a fast paced and demanding environment.
  • Openness to learning new areas of law and a desire to learn. Knowledge of the energy industry is a plus. 
  • Strong interpersonal skills and the ability to effectively interact with all levels within the organization, including senior management.
