Overview

The Corporate Counsel role, embedded in Flatiron's Colorado-and-Texas-based operations, will give you the opportunity to play a key role in the continued success and development of the business. You will provide legal advice to the division, including transactional, litigation, and operational matters, and work closely with leadership to identify and mitigate legal issues. What You Will Be Doing

  • Manage and monitor litigation.
  • Reviews project contract documents (pre- and post-bid) to identify and analyze legal risk related to the project or company. Reports legal risk and mitigation strategies to project and divisional management.
  • Drafts and negotiates agreements, including design-build and construction contracts, joint-venture (JV) agreements, concession agreements (P3 transactions), sub-contract agreements with designers and civil contractors, interface agreements, lenders’ direct agreements, and parent company guarantees.
  • Works closely with JV partners and external counsel to negotiate deals, completes closing paperwork and closing books.
  • Advises project stakeholders of potential disputes and recommends mitigation strategies.
  • Prepares and implements user manuals and training sessions for project contracts.
  • Reviews and supports submission requirements for all divisional Request for Proposals (RFP).
  • Works closely with functional business units including finance, tax, treasury, insurance and other teams to provide accurate and timely legal guidance.
  • Maintains knowledge of Company’s values and strategic plan.
  • Perform additional assignments per management’s direction.

Education And/or Experience

What we are looking for

  • Juris Doctor required.
  • 5+ years’ experience of post-bar professional legal experience required.
  • Experience in construction industry preferred.
  • In-house corporate legal experience preferred.
  • License to practice in Texas or Colorado is required, with Texas being preferred.

Knowledge, Skills And Abilities

  • Knowledge of construction JV and alternative delivery project contracts preferred.
  • Exceptional written and verbal communication and drafting skills.
  • Previous demonstrated experience with in construction litigation will be highly regarded.
  • Analytical and proven problem-solving skills.
  • High-integrity and able to maintain strict confidence with sensitive material and matters.
  • Strong collaboration and team player attitude.
  • Ability to travel, as needed.
