General Summary

The Contracts Attorney position is primarily responsible for reviewing, drafting and negotiating a broad range of commercial contracts. Ensures that contracts and associated processes are in compliance with legal regulations and meets organizational policies and contractual guidelines. Acts as a contract liaison between the company and customers/vendors, including participation in pre-contract discussions, contract negotiations, and contract changes. Position also researches US laws and regulations related to business activities and supports the company’s litigation needs.

Essential Job Responsibilities

  • Reviews all business contracts including but not limited to standard Ts&Cs, supply agreements, Non-Disclosure Agreements, inter-company agreements, development/project agreements, and service contracts.
  • Helps to develop policies and positions on legal issues. Assists policy makers formulate correct plans and strategies by providing input regarding legal implications of the plans.
  • Participates in due diligence investigations in mergers and acquisitions or similar activities, as needed.
  • Performs legal research on state and federal laws.

Miscellaneous Job Responsibilities

  • Coordinates and supports special projects and cross-functional teams, as necessary.
  • Communicates and corresponds with external law firms, as necessary.
  • Drafts corporate minutes (such as Board of Director Meeting minutes, Stockholder Meeting minutes, unanimous consent, etc.) as necessary.
  • Performs other job-related responsibilities and duties as may be assigned from time to time.

Required Qualifications

  • Juris Doctor degree.
  • Active bar license to practice law.
  • One+ years’ comparable law experience.
  • Experience with contracts.
  • Excellent negotiation and communications skills.
  • Administrative and managerial skills.
  • Analytical ability and strong attention to detail.
  • Strong proficiency in PC skills using Microsoft Windows, Excel, Access, PowerPoint, Word, and Outlook.
  • Ability to demonstrate proficiency in interpersonal skills including effective collaboration and communication skills.
  • Ability to prioritize and work under tight schedules.
  • Requires the ability to analyze problems where established procedures may not exist and reach conclusions where considerable variation in interpretation is possible.

Preferred Qualifications

  • Ability to speak, read, and write in Japanese.

Travel

Minimal travel is required.
