**Job Description

** Operating within broad guidelines established by the Senior Vice President & General Counsel, Vice President & Deputy General Counsel, and the Associate General Counsel, the incumbent is responsible for providing legal expertise and assistance to the organization regarding IP and technology transactions, including software licensing, transfer and outsourcing issues, joint ventures and strategic alliances, as well as copyright, trademark and patent matters.

**What You Will Do:
**

  • Provide counsel on various legal matters to protect brand identity, enforce intellectual property rights, and assess portfolio strengths, risks, and needs.
  • Advise on legal issues related to the full technology lifecycle, from procurement, development, and implementation/deployment for both (i) enterprise technology and (ii) core products offered and developed by lines of business.
  • Review, draft and provide counsel to members of the business enterprise, including technology and digital teams, related to complex, global commercial agreements (with a focus on technology), , including master service agreements, technology acquisition and services engagements, commercial vendor agreements, statements of work, work orders, NDAs, data protection agreements and related project documentation.
  • Provide technology and intellectual property due diligence support, including evaluation of third-party technology and intellectual property; support technology and intellectual property related litigations and disputes; provide assessment on open-source software, SaaS agreements and various technology related issues.
  • Participate in the development and interpretation of ABS policies.
  • May provide direction and instruction to support staff, review their progress, and make recommendations concerning evaluating their work.

** **Education & Experience
**

  • Juris Doctor degree required.
  • Requires a minimum of 2-5 years of experience with IP/Technology Transactions experience.

**Knowledge, Skills & Abilities
**

  • Legal interest in the technology/software development and marine industries.
  • The ability to negotiate complex, sensitive legal issues with clients and other interested parties.
  • The human relations and organizational skills necessary to effectively manage support staff activities and work with a team.
  • Ability to work well under pressure, and convey a positive, can-do attitude.
  • Must be a self-starter, able to work independently with a proactive working style.
  • Excellent verbal and written communication skills.
