About the Role: As a Corporate Legal Counsel at Loop, you will play a crucial role in providing legal guidance and support to ensure the company's compliance with relevant laws and regulations, as well as go-to legal expert for all matters related to contracts, negotiations, legal agreements, and corporate governance. Your attention to detail and comprehensive understanding of the law will be essential in mitigating risks and optimizing corporate governance. You will collaborate with internal teams, external partners, and senior management to address legal issues, mitigate risks, and contribute to the company's overall success.

Responsibilities:

  • Advise on legal matters related to corporate governance, commercial transactions, and contracts, as well as potentially regulatory compliance.
  • Review, draft, and negotiate a wide range of contracts, including vendor agreements, partnership agreements, licensing agreements, and confidentiality agreements.
  • Ensure that all contracts align with company policies, legal requirements, and best practices, while also reflecting the company's business objectives.
  • Provide legal support for mergers, acquisitions, joint ventures, and other strategic transactions.
  • Conduct legal research to stay informed about relevant industry trends, laws, and regulations that may impact the company's operations, as well as specific legal questions and/or issues.
  • Manage and collaborate with external legal counsel when necessary, ensuring efficient and cost-effective legal representation.
  • Assist in resolving disputes and legal claims, including coordinating litigation strategies when required.
  • Collaborate with cross-functional teams to address legal considerations in product development, marketing, and other areas of the business.
  • Provide legal training and guidance to internal stakeholders to enhance their understanding of legal implications in their respective roles (eg. contract-related matters, empowering them to understand legal implications and make informed decisions).
  • Stay updated on changes in the legal landscape and proactively advise the company on potential risks and opportunities.
  • Contribute to the creation and maintenance of a repository of legal documents, templates, and resources.
  • Ensure confidentiality of sensitive legal matters and documents.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the bar in CA and additional jurisdictions a plus.
  • 3+ years of experience practicing corporate law at a top tier firm with a strong emphasis on contracts, preferably with in-house legal experience.
  • Strong understanding of corporate governance, commercial law, contract negotiation, and regulatory compliance.
  • In-depth understanding of contract law principles, drafting techniques, and negotiation strategies.
  • Exceptional contract review and analysis skills, with meticulous attention to detail.
  • Strong communication skills, both written and verbal, to effectively convey complex legal concepts to non-legal stakeholders.
  • Ability to analyze complex legal issues and provide practical solutions while managing a high-volume workload and prioritize tasks in a fast-paced environment.
  • Proficiency in legal research and staying updated with changes in industry-related laws and regulations.
  • Collaborative mindset with the ability to work closely with cross-functional teams to achieve shared objectives.
  • Experience in real estate and/or the EV industry is a plus.
  • Passion for sustainability and a keen interest in contributing to the growth of the EV ecosystem.

Total Compensation Package (FTE):

  • Salary: $125,000-160,000
  • Opportunity to participate in ESOP
