Sumitomo Electric U.S.A. Holdings, Inc. (SEUHO) seeks a sophisticated and experienced attorney to fill the position of Managing Counsel in SEUHO’s Legal Department, which oversees all legal and compliance issues for the Sumitomo Electric Group companies operating in North and South America.

The Managing Counsel’s primary responsibilities will be to provide compliance, ethics, and legal services to SEUHO’s affiliates and subsidiaries. The successful candidate will have 8+ years of general compliance and ethics experience, including experience developing, implementing, and/or enhancing corporate compliance programs and initiatives, including policies, training, counseling of executive management and subsidiary management, and a wide range of related activities. While the primary focus of the position will be compliance efforts in the Americas, this position will be part of a global compliance team responsible for global initiatives around the company. General experience with trade control, hotline management, internal investigations, and training would be a plus. Previous experience in a corporate law department of a foreign-based global manufacturing company and/or a government entity/regulator (such as the DOJ, SEC, or state attorney general) is preferred, but not a pre-requisite.

In addition to their practice experience, strong candidates will possess exceptional communication skills, an ability to work in a collegial, business-centered environment, and an intrinsic interest in learning new areas of law. Candidates should also have the intellectual drive to help establish a relatively new legal function for a dynamic and growing law department of an established company.

Located near Los Angeles, California (Torrance), this position is designated as a hybrid position, generally contributing from both the office and work from home locations on designated days, will report directly to the Assistant General Counsel (Compliance & Ethics) and to the General Counsel of the Americas and will help to oversee a network of over 48 Sumitomo Electric Group companies that design, manufacture, and sell a wide variety of electric components, electrical wires and cables, industrial materials, information and communication devices, and cutting-edge energy storage cells/systems. The group companies in North and South America are subsidiaries of Sumitomo Electric Industries, Ltd., which is a publicly-traded company on the Tokyo stock exchange and is a Fortune Global 500 company.

Minimum Requirements

  • D. from an ABA accredited law school and membership in good standing with at least one state bar
  • If not an active member of the State Bar of California, ability to attain Registered In-House Counsel status with the California Bar within a reasonable time
  • At least 8 years of relevant general legal compliance experience with a major law firm, corporate law department, and/or government entity/regulator
  • Ability to provide subject matter guidance on key compliance risk areas, such as anti-corruption and anti-bribery, anti-trust and competition law, privacy, trade control, and other critical areas
  • Ability to identify and prioritize legal and ethics compliance issues of concern to the company and work with management to identify appropriate direction and courses of action
  • Experience in developing, drafting, promulgating, and maintaining policies, standards, and procedures in key risk areas and ability to work cross-functionally with stakeholders to integrate these policy requirements into global operations
  • Experience in developing, implementing, and/or enhancing in-house training programs
  • Ability to conduct, guide, and participate in legal and ethical risk assessments; develop and implement risk mitigation plans
  • Ability to conduct, guide, or lead internal investigations of suspected violations of law or policy
  • Ability to build relationships and work closely with business stakeholders to understand their business processes, applications, and technologies
  • Ability to operate in a fast-paced, sophisticated, and congenial work environment
  • Ability to supervise and work closely with outside counsel to identify and minimize business risks and to achieve strategic objectives in a cost-effective, timely basis
  • Willingness to work cooperatively to continue building a new and sophisticated legal department from the ground up
  • Willingness to work cooperatively to grow and develop the compliance function to support mature and successful businesses
  • Ability to work with business and legal contacts, both in the United States and abroad
  • Ability to work variable hours and travel, as needed, to both domestic and international locations
  • Japanese, Spanish, and/or Portuguese language capability not required, but a plus

The base salary range for this position is $190,000 to $220,000 annually.

Compensation may vary depending on a number of factors, including a candidate’s experience, qualifications, skills, competencies and location. Base pay is one part of the total compensation and benefits package that is provided to compensate and recognize employees for their work, and this role may be eligible for additional discretionary bonuses/incentives.
