Director, Sr Counsel - Operations

Provide a range of legal expertise regarding operations-related matters for the insurance product, broker-dealer, investment adviser and mutual fund lines of business. Provide well-reasoned, concise counsel on legal risks associated with current, proposed or anticipated business activities, balancing client-oriented goals with legal risk. Function as a full member of the management team. Develop and recommend company policy on a variety of legal and regulatory issues. Address other strategic issues as assigned.

**Job Duties And Responsibilities
**

  • Provide legal advice and guidance regarding operations-related matters involving the company’s fixed and variable life, annuity, and health insurance; broker-dealer; investment adviser; and mutual fund lines of business. Knowledge of retirement products including IRAs, SEPs, and SIMPLEs. Advise multiple areas of the company including new business, in-force operations, and claims.
  • Able to independently act on behalf of the General Counsel concerning all matters affecting the company; to communicate with and counsel all levels of the company – including senior management.
  • Communicate effectively with company personnel to ensure they are aware of and in compliance with applicable laws and regulations. Provide education and training as necessary. Translate complexity into simple, crisp, understandable information.
  • Review company activities as requested to ensure compliance with laws, rules and regulations and contractual arrangements. Ability to handle selected matters in-house; assist clients in quantifying and developing strategies to mitigate legal risk.
  • Anticipate and guard against new or developing legal risks facing the company. Monitor, review, interpret, and prioritize state insurance laws, state and federal securities legislation, including SEC and DOL rules and regulations, as well as FINRA rules. Be involved with various industry groups as appropriate. Provide proactive advice, guidance and strategy regarding legal matters as assigned.
  • Conduct research, review, analysis, drafting and approval of various documents, contracts, policies, procedures and obligations to which the company is or may become a party.
  • Provide legal counsel regarding regulatory inquiries, as well as SEC, FINRA and state securities regulatory inquiries and exams and interact with regulators as needed.
  • To the extent applicable, provide management and leadership of staff, including performance management, work flow management and career development. Create clarity and alignment around team’s purpose, goals, roles and responsibilities. Hold self and others accountable to delivering outcomes
  • Identify legal issues outside of general area of expertise and collaborate with other attorneys in their resolution. Create opportunities for collaboration within and across teams.

**Required Job Qualifications
**

  • Juris Doctorate, member of the bar.
  • 7+ years of relevant, high-quality legal experience.
  • Demonstrated deep subject matter expertise in one or more relevant areas of regulation and law.
  • Financial regulatory experience (insurance and/or securities preferred).
  • Strong working knowledge of the financial services and insurance industries, including issues associated with manufacturing, administration and distribution of related products and services
