The Position:

Caterpillar Inc. is seeking an attorney with significant experience working with U.S. government contracts and supporting a government contracts compliance program. This Senior Corporate Counsel role is a deep subject matter expert who provides legal support on a variety of U.S. government contracts matters for Caterpillar, including acting as primary legal support for Caterpillar Defense. This role works directly with the Caterpillar Defense team and reports to an Associate General Counsel.

This commercial attorney position is part of Caterpillar’s Law, Security & Public Policy (LSPP) team that provides global support with Legal Services, Compliance, Trade, Security and Government and Corporate Affairs. Together they apply professional, discipline-specific expertise to identify business and legal risks. LSPP addresses challenges and provides solutions while exercising sound judgement and collaboration to make appropriate decisions that support the business.

Job Duties/Responsibilities may include but are not limited to: 

  • Supporting Vice President of Caterpillar Defense and leadership team to provide advice and counsel regarding U.S. government contracts matters, including negotiations and support for sales opportunities and contract administration post-award
  • Assisting other Caterpillar divisions business leaders and functions with federal, state and local government contracts, as well as M&A diligence
  • Serving as a trusted resource for Caterpillar Defense contract management, including maintaining risk guidelines and assisting with audits and risk assessments
  • Supporting the U.S. Government Contracts compliance program, which includes responsibility for training, program design, and deployment on a global basis
  • Providing recommendations concerning legal issues applicable to Caterpillar Defense and other assigned areas of responsibility

Basic Qualifications:

  • 6-10+ years of specialized legal experience in U.S. government contract transactions, and related counseling, compliance or administration of such transactions
  • Juris Doctor and membership in good standing in at least one state bar
  • Excellent communication and interpersonal skills as well as the ability to manage multiple projects
  • Demonstrated record of interpreting and effectively communicating the substance of complex regulations in the relevant areas
  • Expected to have, or be willing to develop, a deep understanding of Caterpillar’s businesses

Top Candidates Will Also Have:

  • Knowledge of FAR and DFARS, including commercial item rules, prevailing wage laws, and cost and pricing rules
  • Experience negotiating U.S. Government contracts, subcontracts, teaming agreements, and NDAs
  • Knowledge of unique government ethics and compliance obligations
  • Familiarity with cybersecurity and data protection rules applicable to federal contractors
  • Familiarity with the rules for classified contracting and handling classified material
  • Familiarity with DCAA audits and cost allowability rules
  • Familiarity with GSA Schedule contracting
  • Experience working with government administrative processes, including bid protests
