Basic Function

Provide legal counsel to SB Energy’s US team and support growth of the platform. This position reports to the General Counsel.

Responsibilities:

  • Provide counsel to management and project teams as the business positions itself to capture emerging opportunities in the following segments of the energy industry: utility scale-solar, development and acquisition of new technologies, battery storage, etc.  
  • Support, negotiate and review acquisition structures and documentation as we grow our pipeline and enter new markets with new technologies.
  • Research, review, interpret, draft, and negotiate project documents such as power purchase agreements, EPC agreements and O&M Agreements.
  • Research, review, interpret, draft, and negotiate financing documents, including tax equity structures, sale-leaseback structures, mezzanine financings and traditional project debt financing.
  • Manage and supervise outside counsel within budgetary constraints; review and approve outside counsel invoices.
  • Provide counsel on legal issues identified by development and operations teams in connection with development and operating projects.
  • Assist with respect to management of litigation and other dispute resolution processes.
  • Provide general support on company legal matters across all business and administrative departments; interpret and apply legal requirements to the business - in particular, laws, regulations, and rules relating to business activities, as well as implementation of policies, training, or other processes.

Qualifications/Requirements:

  • JD and strong academic record from a leading law school.
  • Licensed to practice law in applicable state.
  • 4-6 years of relevant experience at a major law firm or with a sophisticated in-house legal department.
  • Significant experience advising clients with respect to transactions in the renewables industry, with a focus on M&A and/or project finance.
  • Business acumen and excellent commercial judgment.
  • Ability to work independently and as a team member; ability to set priorities and to respond to changing demands from multiple sources.
  • Excellent communication skills (verbal and written) including ability to work independently; project management skills; ability to negotiate; ability to provide a high level of client service and build consensus across a matrixed client organization.
  • Ability to interface with all levels of the organization.
  • Ability to take lead on any responsibilities within the job description, with support from outside counsel and/or other members of the internal legal team.

Location: San Francisco Bay Area; San Diego, CA; Denver, CO; Phoenix, AZ preferred. 

The position may require up to 10% domestic travel (once normal and safe travel requirements resume)

Compensation packages are based on several factors that are unique to each candidate, such as skill set, experience, certifications, specific work location, and other non-discriminatory factors permitted by law. Base pay may vary per location due to differences in the cost of living.

The total compensation package for this position may also include an annual discretionary bonus, full Health & Wellness Benefits package, generous Long Term Incentive plan designed with our partnership mentality in mind, and other applicable incentive perks as outlined in any formal offer made. The final compensation package will be discussed with the candidate during the final stages of the hiring process.
