Your Role

Baxter has launched a search for Associate General Counsel, Patient Support Systems and Global Surgical Solutions (PSS/GSS). The PSS/GSS division of Baxter’s Healthcare Systems & Technologies global business unit develops, manufactures and commercializes a broad range of medical device and technology products, including the Company’s specialty bed systems, safe patient handling equipment, surgical tables and positioning devices.

Your Team

The Associate General Counsel, PSS/GSS will serve as the lead counsel and member of the senior leadership team for Baxter’s PSS/GSS business. Reporting directly to the Vice President, Deputy General Counsel for the Global Businesses and Americas, they will be entrenched in the business and act as a strategic legal advisor to the business and coordinate with a global team of senior attorneys in other regions and functional areas. They must have strong commercial and leadership capabilities, experience managing a team, critical thinking and technical skills, and an ability and desire to grow with the organization. Baxter seeks a motivated, self-starter with excellent judgment to take initiative and ownership of key projects, matters and transactions.

What you’ll be doing

  • Collaborate with senior business partners and senior management on complex, highly impactful matters for the business. Serve as a strategic advisor to the President of the PSS/GSS business and a member of the senior leadership team driving partnership, collaboration, and participation in decisions and key initiatives, while addressing legal, compliance, and regulatory risks and protecting Baxter’s integrity and reputation.
  • Provide legal guidance and counseling to members of the U.S. sales, marketing and commercial organization regarding GPO agreements, customer contracts and sales and marketing activities to help manage Baxter’s liability exposure and ensure compliance with applicable laws.
  • Draft, interpret, and negotiate a wide variety of commercial and strategic agreements related to Baxter’s PSS/GSS business, including development, manufacturing, acquisition, and other commercial agreements, as well as providing counsel on other complex legal issues and leading other legal projects or matters as necessary. Because the care communications platform is a key component of the PSS/GSS business, a successful candidate will need experience in technology licensing agreements, data privacy and data rights issues, development agreements, distribution agreements, strategic alliances, website and mobile application licenses and terms of use.
  • The role will require knowledge of anti-kickback, antitrust, FDA regulations and data privacy laws.
  • This position will lead a small team of attorneys and paraprofessionals supporting the PSS/GSS business.

What you’ll bring

  • JD from a nationally or internationally recognized institution.
  • Minimum of 10 years of relevant professional experience in a high-caliber law firm and/or corporate law department. Significant in-house experience also strongly preferred.
  • Excellent academic credentials.
  • Significant experience in the med tech business, including substantial knowledge and understanding of the legal framework applicable to medical devices and interactions between industry and healthcare professionals and organizations.
  • Experience in drafting, negotiating, and counseling clients on a variety of complex commercial / transactional agreements, including joint development agreements and customer contracts with healthcare organizations and group purchasing organizations.
  • Proven ability to work in a fast-paced environment, deal with ambiguity and complexity across a global organization, connect the dots among a broad range of potential issues, and bring together the right partners to identify and resolve cross-functional issues.
  • Ability to effectively collaborate with subject matter experts within the Legal Department to advise on the legal and compliance implications of proposed business plans.
  • Detail oriented with capacity to lead heavy workflow, while setting appropriate priorities and deadlines and delivering results on time.
  • Excellent written and oral communication skills.
  • Impeccable integrity, strong work ethic, and sound judgment.

We understand compensation is an important factor as you consider the next step in your career. At Baxter, we are committed to equitable pay for all employees, and we strive to be more transparent with our pay practices. The estimated base salary for this position is $240,000 - $360,000 annually. The estimated range is meant to reflect an anticipated salary range for the position. We may pay more or less than of the anticipated range based upon market data and other factors, all of which are subject to change. Individual pay is based on upon location, skills and expertise, experience, and other relevant factors. This position may also be eligible for discretionary bonuses, commission, and/or long-term incentive.
