AARP’s Office of the General Counsel is seeking an Associate General Counsel who specializes in contracting and commercial transactions. This individual will focus on reviewing and negotiating contracts, advising business units and senior leadership on contracting risk, and building scalable contracting processes, all with the goal of driving speed, transparency, and informed contract execution. AARP is involved in a broad range of commercial transactions, including but not limited to, data licensing, adtech and martech engagements, software, cloud and platform solutions, other procurement/vendor contracts. In addition to reviewing, drafting and negotiating a wide variety of contracts, the ideal candidate will escalate data privacy and data security contracting concerns to the relevant subject matter experts and be able recommend and collaborate on solutions.

All members of AARP’s Office of the General Counsel advise business units and affiliated entities to serve the goals and mission of the organization in a manner that is compliant, ethical, solution-oriented and timely; consult and collaborate with management to develop strategic plans and ensure organizational activities meet legal and regulatory compliance; and work collaboratively to accomplish organization goals and execute on organization mission.


Responsibilities
  • Delivers effective oral and written communication. Assists in developing policies and procedures to ensure legal compliance. Ensures legal and regulatory compliance and counsels business units and affiliated entities, to serve the goals and mission of the organization in a manner that is compliant, ethical, and timely.
  • Provides legal analysis and guidance regarding business initiatives (e.g., identifying legal risks and mitigation steps, determining enterprise-wide implications). Structures legal obligations in contract to protect the interests of the organization.
  • Negotiates and drafts agreements with providers, vendors and other third parties.
  • Works collaboratively with lines of business, the organization, and providers to align business goals with stakeholders' interests.
  • Maintains knowledge of applicable laws and regulations, and provides legal research, analysis, and guidance.
  • Provides legal guidance around general legal guidance, consumer and third-party data privacy issues, privacy governance, data privacy issues, membership issues, procurement issues, development and operation of social welfare products, real estate matters, trademark, copyright and various intellectual property rights.
  • Negotiates and advises on contracts, new business models, legal risks and other organizational related transactions.

Qualifications
  • 10+ years of relevant transactional experience at a law firm, in-house, or combination, working on data licensing, advertising/marketing technology engagements, software, cloud and platform solutions, other procurement/vendor contracts
  • Ability to negotiate with counterparties confidently and explain contract obligations and legal risk to business stakeholders using clear and actionable language
  • Skilled in developing processes that enhance the speed and efficacy of contract execution
  • Highly skilled at identifying contract risk and mitigation approaches
  • Ability to work independently, escalating and collaborating as appropriate
  • Must function with the highest degree of integrity and ethical standards
  • Ability to handle multiple, high-level complex projects at one time and high volumes of work on an ongoing basis, with strong attention to detail.
  • Juris Doctor from an accredited institution
  • Admitted to practice, active member and good standing in a state Bar, with the ability to practice as an in-house attorney in DC

Flexible Work Arrangement (FWA)

AARP observes Mondays and Fridays as telecommuting workdays, except for essential functions. Remote work and telecommuting can only be done within the United States and its territories.
