Position Summary...

What you'll do...

Join the Office of Corporate Secretary to support our Board of Directors and Board committees, SEC reporting, investor communications, and financing activities. This Lead Counsel role will support Walmart’s efforts to provide best-in-class disclosure to our investors and other stakeholders.  You will support our external reporting and investor relations teams, as well as serve as legal counsel on a variety of financing activities, while collaborating with cross functional teams to mitigate legal and regulatory risk.

 

What you’ll do…

  • Providing legal advice and counsel on U.S. securities law matters, compliance with New York Stock Exchange listing standards, and general corporate governance matters.

  • Supporting SEC compliance and reporting, including current and periodic SEC reports and Walmart’s annual proxy statement.

  • Identifying, prioritizing, and managing risks to the company by engaging and supervising outside counsel and collaborating with clients to develop mitigation strategies and processes.

  • Assisting with the preparation of Board of Directors materials and providing legal guidance to the Board on public company disclosure and governance requirements.

  • Supporting the Finance organization, including the controller’s office, treasury, capital markets, and investor relations.

  • Successfully collaborating with internal and external stakeholders.

 

What you’ll bring…

  • 10+ yrs. prior experience in securities law or public company governance at a law firm, government agency (e.g., SEC), and/or in-house. 

  • Substantial experience with capital markets transactions, including registered debt offerings. 

  • Drive to execute and to act quickly.

  • A process-minded and look for opportunities to streamline for improved efficiency and effectiveness.

  • Strong communication skills and experience interacting with senior leadership and a variety of stakeholders.

  • Success working on cross-functional teams within a corporate environment.

  • Law degree from an accredited law school and 6 years’ experience in law.
  • License to practice law in at least one state.
  • 2 years’ experience leading cross-functional teams.
