RWE Clean Energy, LLC , Chicago, Austin Functional area: Legal / Compliance Remuneration: Exempt Reporting to the Head of M&A/Finance/Corporate Law, the Assistant General Counsel – Project Finance will focus on tax equity transactions and provide transactional legal support to utility-scale onshore and offshore wind energy, solar energy, and energy storage transactions in the U.S. Depending on the individual’s background and interests, the role may also include a variety of other matters supporting renewable energy transactions in the US, Canada, Mexico, and Chile. Responsibilities: Providing transactional legal support for the company’s tax equity transactions including reviewing and/or negotiating membership interest purchase and sale agreements, limited liability agreements for the partnership, and ancillary documents Working with corporate and tax personnel to structure corporate ownership and draft related contributions, distributions and assignment agreements Structuring, negotiating, drafting, and/or reviewing various inter-affiliate offtake, business services, O&M and energy services agreements Assisting in prepathe ration of data rooms, preparing disclosure schedules and coordinating with other legal and senior management staff to prepare responses to investor questions Collaborating and coordinating legal workload,including coordinating with real estate, project development, commercial/trading and other internal and external legal teams to ensure agreements are financeable Supporting communications with outside counsel, tax equity investors and consultants Identifying critical project risks and making recommendations Managing outside legal counsel Qualifications: A law degree is required (J.D. or equivalent) from an ABA-Accredited Law School and an active attorney license in at least one U.S. jurisdiction A minimum of 5 years of experience as a transaction lawyer in the renewable space, including specific legal knowledge and experience in solar and/or wind matters - or - at least 10 years experience as a project finance or structured finance lawyer in the energy industry Ability to identify risks and propose solutions to mitigate risks Ability to handle multiple projects and work successfully in a dynamic team environment Excellent interpersonal, analytical and writing skills Proficient in Windows environment, MS Office, Outlook and Excel; technically savvy This position does not require a tax or real estate background Knowledge of renewable energy investment, energy tax credits and government incentive programs preferred Familiarity with EPC, O&M, or energy offtake agreements, energy transmission, and/or energy regulation preferred Combination of training with a top tier law firm and in-house counsel experience preferred Experience in advising senior management preferred Benefits offered: Medical, Dental, Vision, Life Insurance, Short-Term Disability, Long-Term Disability, 401(k) match, Flexible Spending Accounts, EAP, Education Assistance, Parental Leave, Paid time off, and Holidays.
