Job Summary

Goodnight is seeking an experienced counsel to manage a broad range of legal matters, including the Company’s litigation matters, regulatory permitting and compliance, commercial contracting, and to provide strategic and timely legal advice to the Chief Executive Officer, and other members of senior management.

Responsibilities

  • Manage the Company’s litigation matters and provide strategic advice to the Chief Executive Officer regarding risk mitigation strategies.
  • Provide legal counsel regarding, and manage oversight of, regulatory and permitting requirements, including Railroad Commission of Texas, New Mexico Oil Conservation Division and the North Dakota Industrial Commission.
  • Maintain, track and respond to legal requests as part of the company-wide legal intake process.
  • Manage outside counsel to review, draft and negotiate a wide variety of agreements, such as gathering agreements, disposal services agreements, transportation agreements, construction agreements and procurement of goods/services agreements, including but not limited to master service and other professional service agreements.
  • Review, revise and otherwise respond to requests for proposal or information and associated documentation of confidentiality obligations.
  • Counsel on the preparation and negotiation of easements, rights of way, real property leases and saltwater disposal agreements.
  • Provide legal support to internal and external teams engaged in due diligence, asset integration and asset readiness matters related to project finance and financial underwriting, including interpreting contracts; reviewing files and records; reviewing exhibits and schedules; consent to assign, title defect and environmental defect processes; supporting the closing process and addressing post-closing matters.
  • Provide general legal support to various business groups and respond to general legal inquiries.

Education and Experience:

Juris Doctorate degree from an ABA-approved law school. State Bar Association Member, with 5-7 years of in-house or large law-firm experience, relevant to Company’s business operations. Experience in the energy industry, particularly the midstream segment, is preferred. Strong legal analysis skills, commercial dispute resolution, commercial transactional experience, preferably 2-3 years of commercial contract review or in-house litigation management, negotiation, drafting and administration.

A successful incumbent will possess the ability to manage multiple tasks, prioritize accordingly, work independently and be resourceful. This position requires exceptional written, oral and interpersonal communication skills. The ideal candidate must possess the ability to convey vision, strategy or other complex information effectively, with the ability to influence and drive results. Attention to detail and ability to prioritize time-sensitive tasks and meet deadlines in a fast-paced environment are a must.

Working Environment/Physical Requirements:

Working conditions are normal for an office environment. This position remains sedentary at least 75% of the time. This position constantly operates computers, phones, printers and other office productivity machines (e.g., fax machine, copier, printer, etc.). Occasionally required to move documents or files weighing up to 10 lbs. This position requires frequent communication and exchange of information verbally and in writing. This position must be able to inspect and observe information on a computer screen at least 80% of the time. Occasional travel to field facilities and other locations may be required.
