Get to Know the Opportunity:

The Corporate Paralegal will work under the general direction of the Corporate Governance Attorney and will have a wide range of responsibilities including supporting corporate governance matters, securities law compliance, responsible for providing organizational and substantive support as part of the Corporate Governance team. Work may range in complexity depending upon nature and size of the matter being supported and the successful candidate will be required to also provide varying levels of administrative support.

 

The Contributions You'll Make:

Work with Counsel and Managing Paralegal on matters related to executive management, the board of directors, and legal and finance teams to manage corporate, governance, including SEC reporting requirements, and compliance matters including:

  • Coordinate and assist with the distribution of materials for the board of directors and its committees’ meetings, as well as annual shareholder meetings, including agendas, resolutions, minutes, scripts and other documentation as requested
  • Maintain accurate and current officer, director and corporate governance information on the legal shared drive
  • Maintain director and officer agreements, questionnaires (including D&O Questionnaires), forms and information charts. Assist with officer and director onboarding and offboarding.
  • Assist with meeting logistics including supporting the preparation of calendars for board, committee and shareholder meetings
  • Assist the Managing Paralegal in preparation of SEC Forms 3, 4 and 5
  • Stay current and help educate management and the finance and legal teams on new regulatory requirements and corporate governance best practices. Assist in researching SEC law and Delaware corporate law.
  • Provide information to and coordinate with other departments as requested
  • Other general corporate and legal matters, as requested

 

Minimum Knowledge & Experience

  • Associates Degree in Law or relevant field or equivalent experience
  • Knowledge of legal terminology and procedures
  • Proficient in MS Office Suite and legal software
  • Excellent research and analytical skills
  • Excellent written and verbal communication skills
  • Organizational and multitasking abilities
  • Ability to work independently and as part of a team
  • High attention to detail and accuracy

 

Compensation Pay Disclosure: 

Voya is committed to pay that’s fair and equitable, which means comparable pay for comparable roles and responsibilities.

The below annual base salary range reflects the expected hiring range(s) for this position in the location(s) listed. In addition to base salary, Voya offers incentive opportunities (i.e., annual cash incentives, sales incentives, and/or long-term incentives) based on the role to reward the achievement of annual performance objectives. Please note that this salary information is solely for candidates hired to perform work within one of these locations, and refers to the amount Voya Financial is willing to pay at the time of this posting.

Actual compensation offered may vary from the posted salary range based upon the candidate’s geographic location, work experience, education, licensure requirements and/or skill level and will be finalized at the time of offer. Salaries for part-time roles will be prorated based upon the agreed upon number of hours to be regularly worked.

 

$56,580 - $70,720 USD
