Overview

The Governance Sr. Paralegal position is a full-time position in the Legal Department which will support a wide variety of increasingly complex matters in corporate governance and corporate transactions for Chick-fil-A, Inc. and related entities.

This role is based in Atlanta, GA. For candidates that do not live in the Atlanta Metropolitan area, Chick-fil-A offers a full relocation policy.

Responsibilities

  • Assist with the creation and maintenance of Chick-fil-A, Inc., its domestic subsidiaries, and other related entities.
  • Draft and file appropriate formation documentation, foreign qualification applications, and any amendments thereto, as needed.
  • Monitor all entities for any supplemental filing needs and maintain accurate filing calendar.
  • Collaborate with internal business partners to compile information required to prepare and file reports in a timely manner.
  • Respond to requests for information from the internal business clients, auditors, and regulators and respond to request for information.
  • Maintain master entity data including, but not limited to, officer and director slates, authorized signatories, and other corporate information for the Legal Department and others on a day-to-day basis.
  • Help with drafting of resolutions, certificates and other documentation, and maintenance of ownership records and corporate minute books.
  • Manage routine annual meeting process for portfolio entities, including, but not limited to, drafting annual resolutions, documenting officer and director elections, and updating records of all entities as may be appropriate.
  • Assist business and legal teams with a variety of general corporate actions, such as preparing corporate certifications, drafting disclosure certificates, and providing required regulatory and third-party information updates, as may be needed.
  • Provide ongoing education to business partners on corporate governance matters as opportunities arise.
  • Attend outside seminars and other business-related events and stay current on laws and regulations relevant to this role.

 

Minimum Qualifications

  • Bachelor’s Degree or the equivalent combination of education, training and experience from which comparable skills can be acquired. Paralegal certificate is not required.
  • Minimum of 3-5 years of experience in a large law firm and/or in-house legal department
  • Experience supporting a corporate transactional legal practice.
  • Experience in the following areas related to corporate governance and corporate transactions:
      • Filing corporate registrations and related documents.
      • Drafting basic corporate documentation such as a Secretary's Certificate, Incumbency Certificate, and Authorizing Resolutions
      • High degree of organizational skills and attention to detail.

 

Preferred Qualifications

Experience supporting corporate governance or other transactional legal practice such as corporate governance, mergers and acquisitions, corporate securities.
