A dynamic, high-growth, public technology company that serves a passionate community of developers, teams, and small to medium-sized businesses all around the world, is searching for a corporate attorney to become an advisor to stakeholders across the company on corporate securities, strategic transactions, equity and employment matters. This is an outstanding opportunity to make a big impact within a public company and partner closely with diverse functional areas across the company.

Reporting to the Senior Corporate Counsel, this attorney will be an integral member of a high-performing and growing legal team as the company experiences rapid expansion. This is a remote opportunity where candidates located anywhere in the U.S. will be considered.

What You’ll Be Doing:

  • Draft and review SEC filings (including 10-Ks, 10-Qs, 8-Ks, Proxy Statements and Section 16 filings) and advise on other public company disclosures.
  • Ensure compliance with federal and state securities and corporate laws, as well as NYSE rules and regulations.
  • Assist on a variety of corporate transactions, including M&A and financing transactions.   
  • Support day-to-day legal operations, such as board and stockholder communications and other corporate governance matters.
  • Partner with the People/HR team on employment, benefits and equity-compensation matters.
  • Participate in a cross-functional team to promote domestic and international strategic long-term projects and initiatives.
  • Develop, implement and improve company and team processes and procedures. 

What We’ll Expect From You:

  • Bachelor’s degree.
  • J.D. from a nationally-accredited law school and license to state bar.
  • 2-4 years of experience as a corporate attorney working at a top-tier law firm with expertise in securities matters, public company corporate governance and/or strategic corporate transactions. 
  • Excellent analytical skills and problem-solving skills.
  • Strong interpersonal, written and verbal communication skills, including ability to connect with, and gain the respect of, stakeholders at all levels.
  • Ability to multi-task and work collaboratively across all levels of a fast-growing international organization.

  • We reward our employees. (The base salary range for this position is between $180,000-$200,000 based on relevant years of experience and skills. The salary range for this role is specific to candidates located within the U.S. and will vary for candidates outside the U.S..).
