POSITION OVERVIEW
 
The Senior Corporate Counsel will be a member of the in-house legal group that supports the
development team during the company’s expansion and growth. The Senior Corporate Counsel
is responsible for providing legal expertise in the acquisition, development, financing and sale
of solar energy projects. The Senior Corporate Counsel will be a part of a dynamic, collaborative
team and work closely with other departments within the company (project development,
permitting, engineering and construction). This position reports to the General Counsel or
another senior management personnel that the President of the Company may designate. This
position is expected to travel up to 10%.
 
Our corporate office is located in Irvine, CA. While we prefer local candidates, we are open to
allowing the right candidate work remotely if they are not local to the Irvine, CA area.

RESPONSIBILITIES

    • Negotiating, reviewing, and managing all legal aspects of project acquisition, development, financing, and sale; 
    • Review and negotiate term sheets and other transaction documents for project acquisition and sale; manage outside counsel on M&A and project finance due diligence and project development related issues, including PPA, Interconnection, real estate, environmental, permitting, and regulatory; work with other internal teams on RFP bid support as needed; 
    • Coordinate efforts with other internal teams to propose appropriate risk management, identify critical project risk issues and make recommendations and provide summation of documents for execution;
    • Facilitate working with Hanwha affiliates
    • All other duties as assigned by the General Counsel.

REQUIRED QUALIFICATIONS

    • Must be an active member of the Bar, in good standing
    • Juris Doctor degree from an accredited law program with minimum of 5 years of experience
    • Minimum of 3 years of significant real estate experience in project development 
    • Experience in construction, development, clean or renewable energy is highly preferred
    • Willingness to travel, up to 10%
    • Must be a strong team player 
    • High degree of professionalism and conduct at all times 
    • Excellent organizational skills 
    • Excellent verbal and written communication skills 
    • Ability to multi-task, set priorities, meet deadlines
    • Excellent academic and work credentials are required
    • Microsoft office suite proficiency required
