Responsibilities

Serve as primary in-house counsel for legal matters that arise throughout the world. 

  • Serve as principal counsel on commercial legal matters, including commercial legal disputes and contract claims.
  • Provide commercial legal advice to senior business leaders around the world.
  • Review key contracts and support negotiation for various business units and functional teams.
  • Oversee and manage processes for the intake, routing and completion of commercial legal matters.
  • Establish and deploy risk management processes for assessing legal risks associated with business strategy execution.
  • In consultation with the Director of Compliance, provide legal compliance guidance (e.g., antitrust, anti-bribery, and privacy law advice) in the context of MSA’s commercial transactions.
  • Manage, review and participate in the selection, retention and evaluation of certain external legal counsel.

Manage the selection of international legal counsel and serve as Law Department liaison for the Company across certain international regions.

  • Serve as the Law Department's principal liaison and legal advisor for one or more of the Company's geographic business regionals or segments. 
  • Identify, retain and oversee legal counsel to support MSA's international regions
  • Establish processes for the selection and management of external legal counsel, including requests for proposal, selection criteria, performance tracking, and budgeting
  • Select and implement key performance indicators for international legal matters.
  • Regularly advise regional leadership on key legal matters

 

Support the Company's M&A, legal realignment, and corporate governance activities. 

  • Provide legal support on the pursuit of potential acquisitions and realignment efforts, including due diligence, agreement review, and general legal advice.
  • Support the ongoing implementation of existing affiliate governance processes.

 

Perform other legal tasks that arise from time to time, as commercial legal needs require.

Qualifications

Required Education:

 

Juris Doctor from accredited law school

 

 

Experience Required:

Level I

  • Actively licensed member in good standing of the Pennsylvania bar
  • 5 to 7 years dealing with commercial and corporate legal matters.
  • Prior experience working at a top-tier law firm.
  • Excellent writing skills
  • Strong presentation skills
  • Strong project management skills
  • Demonstrated ability to collaborate and work as part of a cross functional team.

 Level II

  • Actively licensed member in good standing of the Pennsylvania bar
  • ​7 to 10 years dealing with commercial and corporate legal matters
  • Prior experience working at a top tier law firm. 
  • Excellent writing skills
  • Strong presentation skills
  • Strong project management skills
  • Demonstrated ability to collaborate and work as part of a cross functional team.
  • Prior experience working with non-U.S. jurisdictions.
  • Experience using or deploying contract management software (e.g., e-signature tools, contract review software)

 

Experience Preferred:

Level I

  • Prior experience managing or overseeing legal teams.
  • Prior in-house legal experience
  • Prior experience working with non-U.S. jurisdictions.
  • Experience managing or overseeing outside counsel.
  • Experience using or deploying contract management software (e.g., e- signature tools, contract review software)

Level II

  • Experience managing or overseeing outside counsel.
  • Prior experience managing or overseeing legal teams.
