As the Senior Director of Corporate Governance at Pine Gate Renewables, you will play a pivotal role in overseeing and enhancing the company's corporate governance framework. You will work closely with executive leadership, legal teams, and various stakeholders to ensure compliance with regulatory requirements, ethical standards, and best practices. Your expertise in corporate governance will help guide the company's strategic decision-making processes. Please read on to learn more about joining our legal team.

 

What You’ll Do

  • Direct corporate governance function for holding company, operating company and subsidiaries
  • Maintain minute books and records.
  • Draft corporate resolutions and consents.
  • Direct formation, maintenance and filings associated with corporate entities.
  • Prepare documents for mergers, dissolution or changes associated with corporate entities.
  • Create and maintain legal entity organization charts.
  • Monitor government compliance filings including annual informational filings, business qualifications and tax filings.
  • Manage relationships with registered agent and various external counsel.
  • Maintain corporate guarantee register.
  • As needed, assist with shareholder governance and SEC filings, including proxy, registration statements and Section 16 filings
  • As needed, provide litigation support including communications regarding the preservation of records and the collection of evidence in response to discovery requests and regulatory inquiries.

 

Must-Haves

  • Corporate Secretariat experience including maintenance of minute books and records, drafting resolutions and consents.
  • Thorough knowledge of corporate governance function including formation, maintenance and filings associated with corporate entities.
  • Thorough knowledge of litigation support best practices for in-house legal departments.
  • Ability to confidently liaise with individuals at all organizational levels including board members, executives, counterparties, external counsel and regulators.
  • Thorough knowledge and experience with Microsoft Office Suite, including SharePoint, and Adobe Acrobat.
  • Minimum of ten years corporate governance experience in privately held and public companies
  • Extensive litigation support experience
  • Previous law firm or in-house corporate legal experience

 

Education and Certifications 

  • Paralegal Certification
  • College degree or equivalent experience
