Position:

 

The Associate General Counsel provides a variety of corporate legal services to in-house clients and will help lead the Lyric law department to become a world-class high-performing organization. This position reports to the General Counsel.


Core Responsibilities:

 

The Associate General Counsel will manage a large variety of legal, regulatory, and compliance matters in support of our growing company. Specifically, the Counsel will:

 

  • Act as advisor on issues involving Lyric’s contractual and regulatory compliance, with a particular emphasis on intellectual property, artificial intelligence, privacy, security, and data rights, and risk allocation and mitigation.
  • Support sales and channel transactions, including drafting and negotiating agreements.
  • Support R&D and products & services development, including ensuring all regulatory and related privacy requirements and product & services claims are met and maintained.
  • Support Lyric business leaders with partner deals and assist with negotiations of the transactions.
  • Assist with mergers and acquisitions.
  • Support material and large procurement matters.
  • Work to prevent privacy incidents and, if any occur, support the ensuing investigation and mitigation.
  • Manage disputes and claims.
  • Support investigations.
  • Develop internal training on various legal and compliance topics.
  • Implement new technologies for the Law Department either directly or as a stakeholder in a broader organizational effort; integrate new businesses’ operations into Lyric’s operations.

 

Requirements:

 

  • Ability to advise on legal issues relevant to the computer and technology industry, healthcare, and emerging artificial intelligence matters.
  • In-depth legal knowledge that allows for expeditious problem identification and resolution.
  • Notable business acumen dealing with risk management and organizational savvy.
  • Expertise at drafting transactional documents and technology license agreements.
  • Comprehensive understanding of new business/joint ventures structures, regulatory matters, risk management and contract management.
  • Excellent interpersonal skills with an ability to provide sound, clear legal advice to clients.
  • Ability to manage simultaneous projects in an efficient and timely manner.
  • Outstanding verbal and written communication skills and advanced knowledge of the law.
  • Juris Doctor Degree from an ABA accredited law school with excellent academic credentials; admission to practice in good standing as a member of a jurisdiction is required.

  • Experience - Track record of providing effective and timely advice and counsel to business leaders regarding complex contractual, healthcare and related compliance issues. Exceptional written and oral communication skills.
  • Strategic thinking - capable of providing clear, balanced advice/counsel on a broad range of strategic and complex management, product, go to market, healthcare, legal and regulatory issues.
  • Driving results - results-oriented style with a high degree of analytical ability and proven problem-solving skills.
  • Leading change - ability to thrive and quickly adapt to change, leading others through change in a dynamic, fast-paced industry and work environment.
  • Leading people - ability to build consensus, and rally employees to achieve results.
  • Collaborating and influencing - effectively builds strong relationships and partnerships within and outside of the company; ability to communicate effectively at all levels of the organization with an open, honest and direct communication style that establishes an empathetic and effective relationship with all levels of team members.

Colorado Residents Only:

The base pay range for Colorado residents is $128,610.00 - $292,050.00 plus any relevant incentive pay programs that may be aligned to the role. Pay is based on several factors including but not limited to education, work experience, certifications, etc. In addition to your base pay, Change Healthcare offers the following benefits for this position, subject to applicable eligibility requirements: Health, dental and vision plans; wellness program; health savings account; flexible spending accounts; 401(k) retirement plan; life insurance; short-term and long-term disability insurance; Employee Assistance Program; PTO; tuition reimbursement; and employee-paid critical illness and accident insurance.
