Job Summary: 
The Senior Corporate Paralegal will be responsible for managing and working on a variety of corporate legal matters, with a focus on corporate governance and corporate organization, and will report directly to corporate in-house counsel and partner with finance, human resources, and other teams at Fanatics.

Essential Job Functions:

    • Manage and actively assist on a variety of corporate legal issues, projects, and initiatives, as needed
    • Manage and actively assist with the preparation, organization and delivery of materials for Board and Board Committee meetings and the annual stockholder meeting, as applicable
    • Support the Board of Director needs and requests, including preparing annual D&O questionnaires
    • Actively assist with statutory, regulatory, corporate governance and compliance, and industry-standard requirements, including anti-money laundering, Know Your Client, FATCA regulation certifications, documentation, and back-up materials
    • Coordinate with fund administrators to manage and oversee compliance requests, investment submissions, and related materials
    • Provide deal management support for M&A, finance, and other corporate transactions
    • Oversight and coordination of subsidiary management, including:
    • International and U.S. entity governance and maintenance
    • Formation and dissolution of entities, changes in entity organization and management, and other changes for the corporate structure
    • Draft and review minutes, resolutions, powers of attorney, and corporate organizational documents, including certificates of incorporation and bylaws
    • Coordinate with outside counsel and various agencies and authorities with respect to entity filings, governance, and maintenance
    • Drafting new templates, including for non-disclosure agreements
    • Manage and maintain the tracking of deal documents and internal records
    • Perform other related duties as assigned

Required Experience:

    • 5+ years of experience as a corporate paralegal in a law firm or in-house (mix of in-house and firm experience is preferred)

Education:

    • Bachelors' Degree required

    • Strong project management skills; ability to handle multiple projects and matters comprehensively and with great attention to detail in a fast-paced environment

The salary range for this position is $110,000 to $130,000, which represents base pay only and does not include short-term or long-term incentive compensation. When determining base pay, as part of a final compensation package, we consider several factors such as location, experience, qualifications, and training.
