Position Overview
The Senior Paralegal - Corporate is a key member of the Dutch Bros growing legal team. This role will help handle a range of legal matters including supporting attorneys and paralegals with real estate transactions, intellectual property protection and filing, franchising, litigation, and general corporate compliance work.
Support attorneys and paralegals with real estate matters:
Prepare and manage the administration of real estate transaction documents including LOIs, leases, sub-leases, amendments, assignments, easements, phase I environmental assessments, construction contracts, and other related real estate documents.
Review title reports and surveys and analyze legal descriptions.
Other special projects as needed
Support attorneys with intellectual property filings, brand protection, and related litigation:
Assist attorneys with all aspects of trademark law, including researching trademarks, preparing and filing applications, and maintaining portfolio
Assist attorneys with brand protection including trademark opposition, cancellation actions, and litigation
Other special projects as needed
Support attorneys and paralegals with franchisee relationship maintenance, agreements, transitions, and transactions:
Provides legal and administrative support related to franchises including franchise agreement renewals, maintaining document files, drafting annual franchise disclosure documents, and registration.
Support legal team in franchisee acquisition transactions, coordinate due diligence, document preparation, closing mechanics, post-closing integration, and administration of acquired assets for smooth and accurate transaction completion
Maintain related calendars for important deadlines and events
Other special projects as needed
Support attorneys with litigation matters:
Provide high-level, detail-focused, and proactive litigation support
Assist with the management of discovery, including organization and document productions to outside counsel
Manage internal litigation holds and preservation of data
Manage litigation-related insurance coverage accounting

Job Qualifications
10+ years of corporate paralegal experience, required
BA/BS degree or paralegal certificate preferred, but can be replaced by significant experience
Experience and understanding of real estate development and transactions including Build-to-Suit, Ground Leases, CAM, SNDA, Estoppel, and exclusivity issues.
Strong understanding of trademark law and experience preparing intellectual property filings and maintaining a Trademark portfolio.
Experience with franchising in registration states and non-registration states, disclosure issues, acquisitions, and compliance
Previous roles that emphasized project management, prioritizing, and consistently achieving results
Experience training and managing support staff
Experience with scaling processes and procedures for a fast-growing company
Ability to travel to Dutch Bros HQ in Grants Pass, OR once per quarter
