The Major Transactions Team provides primary legal support to DXC’s business on all strategic technology and outsourcing deals, cross-border transactions, and complex commercial disputes. This attorney will have the opportunity to work with senior leadership and deal teams supporting all DXC industries, including Aerospace and Defense, Automotive, Banking and Capital Markets, Consumer and Retail, Energy, Utilities, Oil and Gas, Healthcare, Insurance, Life Sciences, Manufacturing, Public Sector, Technology, Media and Telecommunications, and Travel, Transportation and Hospitality.
Job Responsibilities
- Structure, draft, and lead negotiations for complex technology transactions in a fast-paced corporate environment on a broad range of contracts, including master services agreements, statements of work, service level agreements, charges schedules, change orders, amendments, cloud agreements, data privacy agreements, responses to RFPs, and agreements involving security, managed services, cloud, blockchain, automation, and systems integration involving the provision of leading-edge technology services
- Directly lead deal support for existing and new clients; advise DXC stakeholders on all aspects of technology transactions and outsourcing matters, including information technology (IT), business process (finance and accounting, human resources, logistics, and facilities management), and offshore issues
- Provide support and oversight for ongoing account deal work that involves review, negotiation, and interpretation of complex non-standard terms and conditions, including account counseling and generation of deal-governance documentation
- Identify risk and possible mitigations, ensure compliance with laws and client policies, negotiate contracts by leveraging commercial and market-relevant positions
- Provide advice on various aspects of applicable laws affecting multinational contracting, which may include data privacy, security, tax, ARD/TUPE, and intellectual property
- Mentor, coach, and advise junior lawyers and contract managers in transactions and related matters
- Participate in the development of internal guidelines, playbooks, offerings, and other legal and business issues
- Embrace innovative legal delivery services solutions, including the use of technology and process to improve the effectiveness and efficiency of delivering legal services
- Continuously evolve as a knowledgeable and relevant advisor on legal and commercial risks to DXC
Required qualifications, capabilities, and skills
- JD required. Attorney candidates must be in compliance with all relevant licensing requirements, including the requirements of the jurisdiction where the role will be located, prior to the commencement of employment
- 12+ years of experience as a corporate transactions attorney (a mix of law firm and in-house experience is preferred) with demonstrable experience in drafting and negotiating complex global technology agreements
- Familiarity with intellectual property, cybersecurity, technology controls, information security, data privacy and protection, and data management
- Familiarity with global regulatory issues relevant to the use of technology in various industries (e.g., financial services), including cloud, outsourcing, and third-party risk management
- Strong analytical, problem-solving, and legal research skills
- Strong business judgment and strategic thinking
- Global mindset and cross-border experience
- Proven ability to independently identify issues, analyze problems, and provide viable solutions
- Excellent verbal, written, interpersonal, organizational, and negotiation skills
- Ability to communicate and interact effectively with all levels of personnel and management, including senior executives
- Ability to work under pressure, handle deadlines, and manage multiple tasks in a high-performance environment
- Ability to follow up on assignments in a timely manner and exercise good business judgment
- Excellent interpersonal skills and ability to build consensus across a global matrix organization
