Purpose of Position

The position of Legal Counsel is to provide legal support enterprise-wide, such as commercial real estate and construction law, intellectual property, etc.

Tasks and Responsibilities

The following duties are essential to the successful and satisfactory performance of this job. This description is not intended to be all-inclusive of the duties needed, and other responsibilities and tasks may be assigned from time to time.

  • Draft, prepare, and advise in the negotiation of complex customer agreements, including purchase or lease of flight training devices, housing and/or maintenance of flight training devices, contracts for training services, and other sales-based transactions with a globally sourced customer base.
  • Draft, prepare, and advise in the negotiation of agreements with aircraft, aircraft engine, and other aircraft component original equipment manufacturers, including training services collaborations, supply agreements, and intellectual property in-licensing.
  • Draft, review, analyze, advise upon, and negotiate contracts for transaction-facilitating functions, including non-disclosure agreements, sales agent agreements, commercial real estate agreements, and supply chain contracts.
  • Assist with development and improvement of contract drafting, review, and approval processes, such as templates, policies, and procedures.
  • Research and analyze laws and regulations; provide concise and appropriate guidance on legal and regulatory requirements as applied to transactional needs of the business. Partner with subject matter experts in Regulatory Affairs, Trade Compliance, Facilities, and Risk/Insurance to ensure legal and regulatory risks are fully understood by stakeholders.
  • Develop and deliver training and other education to employees on legal and regulatory requirements.
  • Manage outside legal counsel and other legal vendors, including managing workload and assignments, establishing budgets, and approving expenditures and invoices.
  • Assist with merger and acquisition activity and joint venture opportunities, including integration activities.
  • Routine travel will be required (approximately 10-15%) to effectively support FlightSafety business operations, primarily to Broken Arrow, OK, Urbana, IL, and Dallas/Fort Worth, TX. International and domestic travel to additional company facilities or other locations in support of business operations may also be required on occasion.

Minimum Education

  • Bachelor’s degree is required (or its educational equivalent if issued outside the U.S.).
  • Juris Doctor from an ABA-accredited law school is required.
  • At least three (3) years’ relevant experience to the tasks and responsibilities is required, with a preference for at least three (3) years practicing law.
  • Preference for candidates with robust transactions experience at a sophisticated national, regional, or boutique law firm.

Certifications, Licenses, or Registrations

  • Active license in good standing to practice law in at least one state is required.
  • A license to practice law in Ohio is preferred but not required. If not admitted to Ohio, a qualified candidate would have the ability to apply for corporate counsel or equivalent status to permit practicing law as in-house counsel in Ohio.

Minimum Experience

  • 4-7 years relevant experience.

Knowledge, Skills, Abilities

  • Ability to work with minimum supervision and judgment to know when escalation or higher-level leadership review is appropriate.
  • Skilled in effectively building relationships and influencing executives and other high-level management on legal requirements, compliance measures, and process improvement.
  • Advanced verbal and written communication skills in the English language.
  • Excellent organizational skills.
  • Ability to collaborate with and problem-solve with all levels of management.
  • Ability to adapt to changing schedules, priorities, and high-pressure and unpredictable situations.
  • Knowledge of sound business and management principles and their applications.
  • Ability to communicate legal advice concisely in a way that is understandable and actionable for business leaders and other personnel.

Physical Demands and Work Environment

  • Ability to work a schedule that, depending on business demands, may exceed 8 hours/day and/or 40hours/week.
  • Ability to effectively communicate by speaking, listening, and writing/typing.
  • Ability to see, review, and comprehend written communications delivered electronically, such as through email, email attachments, and other similar means.
  • Ability to travel by air and by car.
