Northrop Grumman’s Law Department is currently seeking a Corporate Counsel, Governance and Securities, who will provide support on governance and SEC reporting matters.

 

Specific responsibilities include:

  • Assist in preparing the Company’s SEC Filings, including Forms 10-K, 10-Q, 8-K, Proxy Statement, Section 16 filings and other filings.
  • Assist and support management of Northrop Grumman subsidiaries, joint ventures, foreign branches and investments, including U.S. and foreign legal filing requirements.
  • Support the Treasury function and provide advice on certain financial agreements, including intercompany loan agreements, letters of credit, company guarantees and share repurchases
  • Support capital markets transactions
  • Monitor and coordinate the evaluation of the Company’s corporate governance policies and procedures
  • Advise on and stay current on corporate governance trends and best practices, as well as SEC and NYSE developments
  • Supporting other public company corporate secretarial functions, including preparation and review of resolutions, agendas and meeting materials and minutes
  • Design and implement training materials as needed or requested

 

BASIC QUALIFICATIONS:

  • Juris Doctorate from an ABA accredited law school
  • Active state bar membership
  • 6+ years of corporate experience with a well-recognized law firm and/or U.S. public company

This position requires the ability to balance and influence multiple competing priorities and individuals.  Superior writing, organizational, and interpersonal skills, as well as client focus and attention to detail are required.  A strong commitment and collaborative approach is paramount.  The demonstrated ability to build and foster effective relationships with others is critical.

 

PREFERRED QUALIFICATIONS:

Expertise in corporate governance and corporate securities laws, including 1933 Act, 1934 Act and Stock Exchange reporting and compliance issues.  Experience working with Sarbanes-Oxley, Dodd-Frank and other relevant legislation.   Familiarity with legal entity management for both domestic and international subsidiaries.

 
Salary Range: $194,700 - $279,900
 
Employees may be eligible for a discretionary bonus in addition to base pay. Annual bonuses are designed to reward individual contributions as well as allow employees to share in company results. Employees in Vice President or Director positions may be eligible for Long Term Incentives. In addition, Northrop Grumman provides a variety of benefits including health insurance coverage, life and disability insurance, savings plan, Company paid holidays and paid time off (PTO) for vacation and/or personal business.
