The Corporate Counsel is responsible for providing full legal service to Newfold Digital’s internal customers under the supervision of a managing or supervising attorney primarily for contracts, corporate governance, merger and acquisitions matters and other matters as assigned. This person will provide day-to-day support carrying out legal assignments, including research and preparation of contracts, memorandums and briefs. As well as performing non-routine legal assignments.

**What you’ll do & how you’ll make your mark.

  • Negotiate and draft a wide range of commercial agreements and legal documents, sales/service agreements, non-disclosure and distribution agreements; provide guidance and advice to internal business groups to resolve issues. Maintain contract management system, tracking the lifecycle of contracts, attending to renewals and terminations as needed;
  • Establish, dissolve, merge and/or divest entities, and maintain corporate compliance for the portfolio of companies. Draft corporate governance documents, including transfers of ownership, meeting minutes, and corporate loan documentation. Track and communicate relevant deadlines to key stakeholder;
  • Organize, maintain and track the official records and minutes of the Company and its subsidiaries which includes domestic and international. Liaise with international counsel on an ongoing basis making sure all filings are performed in a timely manner.
  • Prepare consents as needed for acquisitions, dispositions, mergers and reorganization of entities.
  • Create organizational documents, including articles of incorporation or dissolution and merger agreements.
  • Review and work with other departments in responding to KYCs, ESG forms, Security Questionnaires, and other miscellaneous internal and external requests, while at the same time exercising discretion in the disclosure of the information.
  • Assist in pre-close diligence and post-close integration on mergers and acquisitions. Keep calendar for pre-close and post-close deadlines and deliverables for mergers, acquisitions, dissolutions, and divestitures.
  • Work with other members of the legal department to ensure legal compliance with state, federal and or regulatory agencies.
  • Provide assistance to different departments of the Company (heavy interaction with Executive, Finance, Tax, and HR).
  • Preparation of incorporation, qualification, reorganization or dissolution of the Company or its subsidiaries in various states and countries. Interaction with registered agent and outside counsel, including domestic and overseas.
  • Assisting in corporate mergers and acquisition transactions, including, drafting documents and agreements, and organizing and performing due diligence.
  • Supporting internal clients on legal issues. Educating colleagues about emerging and developing areas of the law and legislation affecting the industries our companies operate in.
  • Performing legal analysis and making recommendations on legal, contractual, risk, and compliance issues and any other projects or matters that may be requested.
  • Team up with in-house attorneys to obtain any required approvals from internal stakeholders and optimize support to the business;
  • Assist with improving standard form agreements and legal processes that scale globally.

**Who you are & what you’ll need to succeed.

**

  • Juris Doctor (J.D.) degree and bar admission (Florida preferred) required.
  • 2 or more years of experience with contracts, preferably with technology transactions in a corporate in-house legal or law-firm environment.
  • Strong corporate citizen with a work ethic whose experience includes reviewing, drafting, and negotiating a wide range of contractual agreements (e.g. vendor/procurement, sales/service agreements, licensing, distribution), intellectual property law, regulatory law (telecom and data privacy preferred), advising on employment law matters, and assisting with M&A transactions.
  • Attention to detail and ability to ramp-up quickly in new environments and teams.
  • Organizational skills, attention to detail, and ability to spot errors.
  • Ability to multitask, prioritize work, and manage time efficiently.
  • Sound business judgment that allows you to navigate ambiguity, work independently but also escalate issues when necessary.
  • Ability to work with varying seniority levels, including internal staff, managers, and external partners.
  • Highly responsive with excellent communication skills and a desire to deliver superior client service.
  • Ability to contribute successfully to cross-functional team.
  • Ability to manage multiple projects at once, follow through and meet deadlines.
