**Senior Counsel -- Corporate Law and Assistant Corporate Secretary
** This senior counsel position assists the Corporation's EVP, Corporate Secretary and Senior Deputy General Counsel in supporting the Board of Directors in all aspects of the corporate secretary function. Additionally, the position is instrumental in determining and analyzing best practices for effective bank boards. It provides legal advice in various areas of corporate law, supervises outside counsel, and delegates to legal assistants. The successful candidate will have demonstrated experience in handling a high volume of activity involving multiple projects simultaneously and the ability to work effectively in a team environment.
**Position Responsibilities
**
- Reviewing and preparing resolutions, agendas, minutes, and board materials for the company and its subsidiaries.
- Providing legal counsel and monitoring corporate governance and other developments applicable to the board and/or its committees, as well as the company; helping to implement enhancements in connection with changing regulatory, legal, and other requirements.
- Researching and monitoring best practices for bank boards and advising on those practices.
- Serving as Assistant Corporate Secretary for the company and its subsidiaries.
- Attending board and/or committee meetings, supporting the technology used to prepare, distribute, and present materials and to conduct meetings, and facilitating other board and committee activities.
- Providing legal advice on general corporate law and bank regulatory issues.
- Supervising outside counsel and delegating to paralegals. Acting as a mentor on legal matters, transactions, or other projects.
**Position Qualifications
**
- JD required from an American Bar Association accredited law school.
- 6+ years of practicing law at a law firm and/or in-house, with experience in the areas of corporate law and corporate secretary.
- 2+ years of either working in-house at a bank or representing banks at a law firm.
**Required Licenses/Certifications
**
- Active member in good standing with the State Bar of Texas or, if licensed in another state, able to qualify for admission within 180 days of employment.
