The Transactional Attorney (“Attorney”) will be primarily responsible for working with the relevant SEI business teams to structure and reach agreement as to the contractual terms of various SEI enterprise-wide transactions. The Attorney and the relevant business people will lead the review, drafting and negotiating of various agreements within the framework of SEI’s contractual and regulatory compliance obligations and our third party risk management program. The Attorney will have frequent interaction with internal solutions teams, sales/relationship personnel, product/service buyers in most business and competency units and will deal directly with outside clients and vendors. The Attorney must have excellent relationship, communication, project management, organizational and negotiation skills and will be expected to have, or quickly develop, a deep understanding of the business concepts at issue. The Attorney will report to a Senior Transactional Attorney.

What you will do:

  • Drafting, negotiating and reviewing the company’s agreements with clients and third party service providers, including non-disclosure agreements, professional services agreements, outsourcing agreements, software licenses, data licenses and development agreements
  • Working with internal clients to solve legal, risk and business issues in transactions
  • Educating internal clients as to the thought process of the legal group’s assessment of the risk/reward framework of positions and issues present in contractual negotiations
  • Understanding and applying regulatory changes to new and existing contracts
  • Managing and prioritizing multiple concurrent projects
  • Ensuring that company standard contract terms and conditions are included in agreements
  • Participating in various activities related to corporate governance, regulatory compliance, and third party risk management
  • Populating and maintaining contract files and repositories
  • Assisting with policy and procedures drafting and review

What we need from you:

  • Must be a detail oriented, flexible, and collaborative team player
  • Effective writing and communication skills
  • Law degree, Bar membership: Any U.S. state
  • Understanding of technology development, software licensing, financial services, and professional services contracts
  • Ability to effectively prioritize work and business needs
  • Comfort with a dynamic, often-changing environment
  • Must possess a high degree of multi-tasking capability
