Spruce Law Group, LLC (“Spruce Law”) is a growing boutique law firm in need of expanding its team with a dedicated, proactive “utility player” Paralegal to support and collaborate across multiple practice areas – with particular focus in our national Real Estate and Corporate Real Estate Strategies (CRES) practices. The Paralegal will work directly with our attorneys to prepare and finalize commercial lease related and other transactional documents, dive into research projects for various commercial and real estate matters, and review transactional documents in order to maintain internal docketing for tracking of important internal and client driven deadlines. Assistance with the firm’s legal operations offering for our clients as part of these efforts may also be required. Spruce Law’s CRES practice has a national client base of publicly traded and large private, growing companies with hundreds of leased offices and facilities. Our workload is mounting and the ideal candidate for this position is organized, professional, and committed to helping our team meet all of our clients’ needs.

This position is a hybrid work-from-home and in-office work environment. Presently, work-from-home is nearly full-time while office renovations are in progress, though you may be asked to be on-site at times or for specific tasks as needed, e.g., mailings. – depending upon the client/team deadlines, sometimes work may be required after-hours. Our firm’s headquarters is located in the Rittenhouse Square area of Center City Philadelphia in a historical brownstone.

More Specific Duties & Responsibilities

On any given day, the Paralegal may be enlisted to perform any or all of the following assignments and activities. The ideal candidate embraces the variety in the substance of work and is comfortable toggling between more complex high-minded assignments with more straightforward clerical work when necessary – all of which we consider to be very essential in client service delivery:

  • Draft, review, and prepare leases and lease abstracts.
  • Coordinate with clients and other third parties to gather and assemble required documents and collect due diligence materials for corporate and real estate closings.
  • Convert document formats and compare versions to identify and analyze revisions.
  • Maintain internal CRES workflow/deadline tracking and document filing systems; develop and implement enhanced process and protocols for the same.
  • Assist with our firm’s legal operations offering and facilitating related requests from clients, such as estoppel certificates and SNDAs and applicable coordination with key stakeholders.
  • Uphold firm standards for drafting documents and corresponding to parties inside and outside the firm.
  • Prepare and maintain checklists for commercial real estate closings.
  • Draft loan documents and assemble related closing documents.
  • Form corporations and draft form corporate documents for closings, such as authorizing resolutions and incumbency certificates.
  • Draft and record deeds and other conveyance documents.
  • Prepare and file UCC financing statements.
  • Review underlying title documents, title policies, and assemble conveyance documents for real estate closings.
  • Manage third party vendors and deliverables for real estate closings.
  • Organize and attend real estate closings.
  • Prepare closing binders.
  • Conduct legal and factual research and prepare analysis and reports for attorney review based on case specifications and other requests by attorneys.
  • Perform administrative tasks, such as correspondence, mailings, and scanning.

Requirements:

  • Minimum two (2) years’ working experience as a Transactional Paralegal or a Legal Assistant. 
  • Bachelor’s degree, certificate of completion from an ABA-approved paralegal certification program of education and training, or an associate degree in paralegal studies required.
  • Excellent organizational skills, including the ability to manage time well, prioritize effectively, handle multiple deadlines.
  • Possess a natural curiosity to problem-solve and eagerness to learn new skills.
  • Able to work proactively, both when working independently and on a team.
  • Positive and approachable attitude and the ability to work with different personalities.
  • Strong written and verbal communication skills along with strong attention to detail.
  • Proficiency with Adobe Standard or Professional or commensurate program.
  • Proficiency with the Microsoft Office suite, including MS Word, Excel, and Outlook.
  • Experience utilizing legal databases for research purposes.
  • Substantive experience as a paralegal on leasing matters, real estate deals, bank loans, and other transactional matters.
  • Notary public preferred (with the ability to become an Electronic or Remote Notary).
