We currently have an opportunity for Corporate Counsel in College Point, NY or Maimi, FL. As the Corporate Counsel you will play a pivotal role providing legal guidance and advice with respect to corprorate and finance matters, ensuring compliance with laws and contratural obligations and support OHLA's operations and strategic initiatives reportng directly to the CEO. You will collaborate with various departments to ensure legal compliance, manage risks, and contribute to the achievement of OHLA's business objectives.

**Responsibilities

**

  • Secretary of OHLA USA's companies and manangement of all corporate matters.
  • Provide legal support regarding corporate finance, and Merger & Aquisition transctions, contributing to OHLA USA's success.
  • Provide legal fincial advise, including monitoring compliance with covenants under the finance agreements, providing assistance to the finance team in order to assure fulfillment of all undertakings.
  • Drafting and delivering all the necessary information and documents required under the finance agreements, guarenteeing complaince of OHLA+'s obligations, protecting and reinforcing the coapnys interest.
  • Coordination with legal counsel for corporate and finance matters, reporting and making follow-up of relevant issues and assuring compliance assessment.
  • Coporate governance and supervision of the implementation of OHLA's internal governance policies, in order to endure compliance in ll respects.
  • Keeping and managing IP rights regsitered in the USA, safeguarding the company's assests and interests.

**Qualifications

**

  • 3-5 years of experience practicing law, with a focus on corporate and commercial matters.
  • Strong negotiation, analytical, and problem-solving skills.
  • Excellent written and verbal communication skills.
  • Ability to work independently and collaboratively in a cross-functional team environment.
  • Must be bilingual (Spanish speaking)

**Minimum Salary
