Key Responsibilities:
-Conduct comprehensive underwriting and due diligence processes, ensuring meticulous analysis and risk assessment. -Provide expert legal counsel on securities regulations, transactions, and compliance matters. -Draft, review, and negotiate complex contracts, agreements, and legal documents. -Collaborate closely with internal teams and clients, offering strategic legal advice to support business objectives. -Stay abreast of industry trends and regulatory developments to ensure our clients are always ahead of the curve.
Requirements:
-Juris Doctor degree from an accredited law school. -Minimum of 4 years of experience as a Corporate Attorney, specializing in underwriting, cross-border transactions, due diligence, and securities law. -Ability to draft and review various SEC filings, including S1's, MDNA's,10K, 10Q, and 8K's. -Proven fluency in Mandarin or Hebrew (preferred) to facilitate international transactions. -Exceptional analytical, negotiation, and communication skills. -Strong attention to detail and ability to manage multiple complex projects simultaneously. -Membership in the state bar association and a stellar professional track record.
