We are seeking a highly skilled, experienced, motivated, results-oriented, and business-minded Senior IT Contracts Attorney to join our contract legal team. In this role, you will be responsible for drafting and negotiating contracts, providing legal guidance to internal stakeholders, interfacing with client’s counsel on matters related to commercial contract transactions and other corporate legal issues. This is a hybrid role and preference would be for an Illinois based candidate.

**What You’ll Do

**

  • Handle a wide range of legal matters including commercial contracts, employment, compliance and other general corporate matters and provide legal guidance to internal stakeholders of matters related to commercial contracts and other legal issues.
  • Draft, review, and negotiate professional services and SaaS agreements, including but not limited to:
    • RFP’s
    • Master Services Agreements (MSA)
    • Statements of Work (SOW)
    • Non-Disclosure Agreements (NDA)
    • Vendor and Channel Partner Agreements
  • Develop and drive compliance policies and procedures designed to enhance employee awareness of corporate business standards.
  • Supervise and coordinate with outside counsel as necessary.
  • Participate in M&A activities as necessary.

**What You’ll Bring

**

  • Bachelor’s degree in business or related field.
  • J.D. degree from an accredited law school and license in good standing to practice in at least one state (Illinois preferred).
  • Minimum 4-6 years' of experience. Significant knowledge of contracting concepts.
  • Previous in- house, law firm or contract management experience, specifically within the IT services industry servicing commercial and public sector clients.
  • Familiarity with one or more of the following would be helpful: employment law, procurement processes, intellectual property law, data protection laws, mergers and acquisitions; corporate governance and contract lifecycle management systems.
  • Excellent communication, negotiation, and leadership skills.
  • Professional demeanor and strong work ethic.
  • Strong written, oral, interpersonal, and negotiating skills, including the ability to explain concepts clearly and actionably to senior leaders, internal business stakeholders, and clients to ensure well-informed business decisions.
  • Ability to work independently on projects / matters with minimal supervision, prioritize, manage multiple transactions, and meet deadlines with consistently high-quality work product.
  • Requisite judgment to define, recommend, gain approval of and implement courses of action to support and enforce the Company’s rights and minimize liabilities.
  • Demonstrated ability to coordinate with outside counsel effectively.
  • Proven track record in building strong, trust-based relationships with diverse client groups.
  • Demonstrated ability to work with executive team and company business unit leaders to develop contract strategies and to provide guidance regarding professional standards, quality and risk management and related matters.
  • Positive energy, enthusiasm, flexibility, confidence, and ability to work collaboratively as well as cross-functionally in a dynamic, fast-paced environment are a must.
  • Must be willing to work occasionally in our Lisle, Illinois headquarters.
