Works directly with General Counsel, Corporate Counsel, Assistant General Counsel, Senior Counsel and all other lawyers within the legal department in meeting the needs of TD SYNNEX’s diverse client base. Manages the corporate records, books and minutes, and maintenance of corporate entities. Supports SEC and NYSE filings and compliance. Maintains departmental policies and procedures. Drafts transactional documents, prepares subsidiary and corporate resolutions, and assists in regulatory compliance.
What You'll Do:
- Maintains corporate records and minutes for the corporation and its subsidiaries. Manages the corporation's external service providers regarding filings made in connection with the corporate secretary function and negotiates scope of services. Makes filings in appropriate jurisdictions. Creates and dissolves legal entities.
- Coordinates the execution, notarization and legalization of various legal documents.
- Manages incoming requests and the approval process for international subsidiary documentation.
- Organizes and assists with the preparation of board and committee meeting materials.
- Supports and reviews D&O questionnaires. Supports the preparation of the proxy statement and related materials and annual or special meetings of stockholders.
- Assists with securities and other regulatory compliance, reporting and filing requirements, such as NYSE notifications and Section 16 filings (Forms 3, 4 and 5), and with the management of company policies owned by the corporate secretary function, such as trading policies and programs. Maintain corporate records with respect to public company filings and general record-keeping.
- Drafts intercompany form agreements and maintains databases.
- Assists in the drafting of transactional and other legal documents involving the corporation and its subsidiaries.
- Maintains corporate forms.
- Performs additional duties as assigned.
What We're Looking For:
- 10 to 15 Years of relevant work experience
- Paralegal certificate from the National Association of Legal Assistants
- Prior experience in corporate governance/securities law at a public company or law firm preferred.
- Possesses strong organizational and time management skills, driving tasks to completion.
- Able to constructively work under stress and pressure when faced with high workloads and deadlines.
- Able to maintain confidentiality of sensitive information.
- Able to collaborate and build solid, effective working relationships with others.
- Able to exhibit ability to be sensitive to the needs, concerns, and feelings of others.
- Able to quickly learn/adapt to new systems and technology.
- Able to use relevant computer systems and applications at an advanced level.
- Experience supporting board and committee meetings, minutes and resolutions preferred.
- Notary public or ability to become a notary.
- Experience with Computershare Section 16 Filer Manager, PowerPoint, Excel, and Boar Vantage preferred.
