Job Description

Our General Counsel, VP Legal & Compliance serves as the primary legal counsel for Intelerad’s worldwide business. Reporting to the Chief Financial Officer, the successful candidate will provide efficient, effective, and commercially minded legal counsel in an effort to minimize risk and ensure a robust compliance regime.

Duties/Responsibilities:

  • Lead a team of 15+ employees in our Legal and Compliance departments
  • Review and negotiate major and/or non-standard technology contracts with public and private sector customers, including licensing agreements and professional services agreements
  • Form part of the team delivering mergers and acquisitions, divestitures, stock purchases, strategic investments, joint ventures and other corporate transactions, from NDA to integration
  • Ensure legal compliance regarding personal information protection, including protected health information (PHI) and other regulated personal information in all jurisdictions
  • Maintain compliance of Intelerad’s product suite in alignment with US and International regulatory standards including, but not limited to 21CFR820, ISO13485, ISO27001 and SOC2
  • Manage the company’s intellectual property portfolio and preserve corporate records
  • Give accurate, balanced, and timely counsel to executives in a variety of legal topics
  • Drive standardization and continuous improvement of commercial contract terms, clause libraries and playbooks
  • In collaboration with our operations team, define and implement contracting processes for technology sales, services, procurement, and partnership agreements
  • Identify legal and commercial risks and issues and assist with the development of solutions
  • Direct and manage outside counsel as necessary
  • Oversee corporate secretarial matters
  • Work on ad hoc legal projects, including but not limited to, new policies, templates and procedures, and other corporate legal regulatory matters

Qualifications

  • Member in good standing of a US state or Canadian provincial bar
  • Qualified lawyer with at least 10+ years relevant experience
  • Experience working for a technology company
  • Experience in preparing, reviewing transaction documents, conducting due diligence, preparing ancillary transaction documents, and managing mid-sized and large transactions
  • Solid understanding of corporate, commercial, and intellectual property law and contractual principles and experience drafting and negotiating technology-related subscription agreements for cloud-based offerings
  • Flexible, positive, and well-organized team player, comfortable working in a fast-paced software and technology environment
  • Ability and desire to work independently and with little oversight
  • Ability to clearly communicate and present ideas and results to diverse business and technical

Preferred Experience/Skills:

  • Experience working on M&A transactions
  • Knowledge of HIPAA, GDPR, and other privacy laws
  • Experience working with healthcare companies
  • Understanding of medical devices regulations and information security compliance
  • Experience working for a private equity backed company
  • Experience working in a highly regulated environment
