Are you ready to make your mark? If you’re a Legal Specialist, we have an exciting opportunity for you. This position reports to the Legal Director of Aerospace and is responsible for providing legal support for the business segment with a primary focus on sales and customer contracts. This role is an integral member of the Legal team supporting the Aerospace business. It is expected that the individual would seek to understand and collaborate with the business, explore assumptions and alternatives, and develop innovative solutions to reach successful outcomes, while balancing risk and commercial goals.

_What You Will Be Doing…

  • Reviews complex and custom contracts to ensure clauses, terms and conditions are compliant with quality, legal, government and other regulation requirements.
  • Negotiates and supports the business and contract operations group in negotiating commercial and legal terms for various agreements.
  • Reviews contractual provisions for ambiguities and contemplates potential outcomes. Drafts complex provisions to achieve intended results. Understands interrelationships among various contract provisions.
  • Support review of contract terms with cross-functional supports (e.g., sales, finance, quality, import/export controls, engineering, etc.), as required to optimize opportunity and mitigate risk.
  • Cooperates with in-house counsel to create model contracts for specific programs when required.
  • Conducts periodic contract reviews to ensure obligations are met by Woodward, suppliers, and business partners.
  • Takes ownership of, manages, and develops templates and standard work. Reviews and approves deviations from standard templates.
  • Plans and conducts contract and systems training for members outside the legal department.
  • Provides legal support for a business segment under the direction of the Legal Director of Aerospace.

What We Are Looking For

  • Minimum 5 years related experience and/or 2 years related experience with J.D. degree
  • J.D. degree preferred
  • Bachelor's degree in relevant field required
  • Experience in corporate legal department or law firm setting preferred
  • Knowledge of the UCC and FARs/DFARs is a plus
  • Professional certifications or courses in contract management desirable
  • Government and international contract experience a plus

This position requires use of information which is subject to the International Traffic in Arms Regulations (ITAR) and the Export Administration Regulations (EAR).
