Qualifications: · 3-10+ years of experience in Securities Acts of 1933 & 1934 + Investment Company Act of 1940. · A background in legal and regulatory matters associated with public securities ('33, '34) & registered funds ('40). · Experience from law firms, in-house &/or the Securities & Exchange Commission in the '33, '34, & '40 Act. Role: As Corporate Counsel, be at the forefront of a compelling opportunity to shape your legal career and make a significant impact and ensure compliance with regulatory disclosure requirements for mutual funds and Exchange Traded Funds (ETFs). · Draft, review & edit documents, such as summary prospectuses, statutory prospectuses, and statements of additional information for accuracy, clarity, and compliance. · Play a pivotal role in developing and launching new funds, collaborating closely with cross-functional teams. · Assist in the preparation and review of shareholder reports and other regulatory filings. · Prepare and supervise proxy statements for shareholder meetings and proxy campaigns from a legal perspective. · Provide expert guidance to various departments on regulatory disclosure matters, investment policies, restrictions, and regulatory/legislative changes impacting the funds. · Act as a key point of contact with the Securities and Exchange Commission (SEC), addressing and responding to comments on fund disclosure matters. · Contribute to special projects driving the growth of our client’s organization.
