Job Summary:

Scientific Games, a multinational lottery and gaming supplier with operations on five continents, seeks a skilled and experienced attorney to join its collegial global Legal Department as Senior Counsel – Commercial.  This position will provide legal support and advice regarding a wide variety of commercial matters to the various business operations worldwide, including, but not limited to, negotiation of appropriate agreements for existing business as well as entry into new markets; complex joint venture and business development agreements; and development or acquisition of new businesses and technologies.  Responsibilities include working and coordinating across multiple corporate functions with various internal clients and external entities to timely close matters that meet business objectives.  The position requires identifying and analyzing legal, organizational and public relations issues; presenting positive, creative solutions; and advising management of risks, as well as working well with colleagues in the Legal Department and throughout the company at all levels to resolve matters. 

 

Essential Job Functions:

  • Drafting, negotiating and finalizing a wide variety of commercial transactions, including B2B and B2G services and supply agreements, NDA, real estate leases, SaaS engagements and IT solutions, licensing and other IP agreements and ancillary documents, and public procurements involving state, provincial and national government.
  • Communicating clearly with internal clients and external entities on a wide variety of regulatory compliance and commercial law matters.
  • Providing counsel and strategic advice on a variety of commercial legal issues, including to ensure compliance with corporate policies and processes.
  • Advising business stakeholders on contract status and legal risks.
  • Working productively with cross-functional teams, including sales, tax, accounting, government relations, management, regulatory, procurement, licensing and proposals.
  • Managing outside counsel.
  • Supporting the continuous improvement of standard form agreements, corporate policies, contract management tools and legal processes.
  • Addressing disputes with vendors and customers in an efficient and strategic manner.
  • Assisting the Compliance and Regulatory teams on due diligence, privacy and data protection matters, including, as needed, with advice from outside counsel.
  • Assisting in global corporate governance matters.
  • Leading the business licensing function for all Scientific Games´ facilities.
  • Collaborating with the larger legal team on assigned special projects across a spectrum of complex business, legal, operational and strategic issues.
  • Assisting internal stakeholders in ESG and other reporting matters and global requirements.

 

Qualifications:

 

Education

  • Juris Doctorate from an accredited law school. 
  • Current member in good standing, or registered in-house counsel, with the bar of at least one U.S. state required.

 

Required Experience

  • Minimum of 8 years experience in a law firm, corporate law department or a combination thereof.
  • Practical and demonstrable expertise in commercial transactions.
  • Extensive commercial contract drafting and negotiation experience

 

Preferred Experience

  • Public procurement at state or national level.
  • Prior experience drafting and negotiating licensing and IP Agreements.
  • International supply chain and SaaS contracting.
  • Foreign language proficiency.
  • Regulatory compliance.

Physical and Office Requirements

 

  • Office Environment.
  • Hybrid or in-office.  The Scientific Games Legal Department’s offices are in in Alpharetta, Georgia and we will consider full-time remote work for exceptional candidates.

 

Work Conditions

  • May require weekend and evening hours.  
  • May require domestic or international travel.
