Responsibilities

BASIC PURPOSE: Provide day-to-day support and advice to internal business units with respect to the drafting, interpretation and review of legal agreements and various legal matters.

POSITION RESPONSIBILITIES: 

Draft, revise and negotiate a wide range of commercial agreements.

Work with internal business units to provide legal guidance on agreements, policies and processes.

Identify risks and propose alternative structures to mitigate risks involved in potential transactions.

Assist with intellectual property and corporate governance matters. 

Advise on legal aspects of sales, marketing, purchasing, information technology, lease and other agreements.

Conduct legal research and render interpretive memorandum as needed.

Participate in the development and interpretation of departmental policies.

Perform other job-related functions as assigned.

KNOWLEDGE AND EXPERIENCE: 

EDUCATION: Juris Doctorate from an ABA-accredited law school, and member in good standing of the Florida Bar.

EXPERIENCE: Minimum 3 years' experience in major law firm or corporate legal department with general corporate, intellectual property, transactional and commercial legal issues. Substantial and strong commercial drafting and review experience. 

KNOWLEDGE & SKILLS: Intermediate-level knowledge of Microsoft Office Suite. Exceptional oral and written communication skills. Interpersonal skills to work effectively with senior management and all team members. Ability to identify risks and propose alternative structures to mitigate risks. Ability to handle multiple projects and prioritize such projects as needed. Ability to work successfully in a critical team environment. Excellent analytical research and documentation writing skills. Ability to work independently while exercising good judgment by identifying issues that require escalating with senior legal team or General Counsel.
