Position Overview

Reporting to the VP, Lead Litigation Counsel, the Associate General Counsel, Corporate and M&A is primarily responsible for corporate and securities legal matters, with an emphasis on mergers, acquisitions, venture capital investments, and similar transactions.  The Associate General Counsel, Corporate and M&A also plays a leading role in financing activities, including debt and/or equity transactions, as well as on corporate governance matters.  The person filling this role will have experience reflecting a strong focus on M&A as well as corporate structures and formation and maintenance of corporate entities; preparation of a wide range of proxy and Forms 10-K, 10-Q and 8-K disclosures. 

This role will be based out of Madison, WI. Relocation assistance available.

 

Essential Duties

include but are not limited to the following:

  • Play leading role on all corporate M&A and other strategic transactions (e.g., joint ventures) from a legal perspective. Will work with General Counsel on some transactions; will independently run others.
  • Provide legal support for post-closing integration activities.
  • Provide legal review and oversight of all securities filings; advise on securities law compliance matters including Regulation FD and the company’s insider trading policy.
  • Work with General Counsel in preparations for board and committee meetings and follow up.
  • Work with General Counsel on corporate governance matters.
  • Primary contact for outside counsel on corporate, securities and M&A matters; help manage and control costs.
  • Coordinate with outside counsel to deliver advice on merger controls and other antitrust and competition law matters.
  • Collaborate closely with other functional areas, including business development, accounting, operations, and human resources.
  • Uphold company mission and values through accountability, innovation, integrity, quality, and teamwork.
  • Support and comply with the company’s Quality Management System policies and procedures.
  • Regular and reliable attendance.
  • Ability to work designated schedule.
  • Ability to work nights and/or weekends.
  • Ability to work seated for approximately 90% of a typical working day. Ability to work standing for approximately 10% of a typical working day.
  • Ability to work in front of a computer screen and/or perform typing for approximately 90% of a typical working day.
  • Ability to travel approximately 10% of working time.

 

Minimum Qualifications

  • College degree (B.A., B.S.) and Juris Doctorate (J.D.) from top-tier, ABA-accredited law school.
  • Six or more years related experience at a law firm or in a corporate law department. “First-chair”-level experience leading corporate and M&A transactions and handling securities law matters.
  • Health care, life sciences, and diagnostics experience is a plus.
  • Extensive, comprehensive technical knowledge of corporate and securities laws.
  • Extensive experience running complex M&A and financing transactions; structuring; leading due diligence efforts; drafting transaction documents; negotiating to successful close; and tracking post-closing requirements.
  • Excellent analytical, organizational and problem-solving skills, and senior level skills in managing ambiguous situations and issues.
  • Ability to effectively negotiate and establish a personal rapport with opposing parties, and to resolve conflicts in a professional manner.
  • Ability to develop and implement effective and efficient recommendations.
  • Must have excellent verbal and written communication skills and executive presence.
  • Demonstrated ability to collaborate effectively throughout all levels of the organization. Must be a team player.
  • Strong leadership skills; self-awareness; confidence.
  • Desire and aptitude for understanding the business; business acumen.
  • Strategic organizational and presentation skills; ability to explain transactions to management and board.
  • Must be self-starter able to work independently.
  • Authorization to work in the United States without sponsorship.
  • Demonstrated ability to perform the Essential Duties of the position with or without accommodation.

 

Salary Range:

$204,000.00 - $326,000.00

 

The annual base salary shown is for this position located in US - WI - Madison on a full-time basis. In addition, this position is bonus eligible, and is eligible to receive company stock upon hire as well as annually.
