Position Summary The General Counsel leads, manages, sets strategy, and drives to resolution ISEC’s general legal, intellectual property, client and supply chain contracts, legal right reservations and remedies, impact claims, and legal compliance for the organization. This includes collaborating closely with the executive team, human resources, and regional and corporate management in all legal strategies and matters. Responsible for oversight of internal legal projects when assigned to external legal firms. Duties and Responsibilities: 80% Contracts

  • Lead corporate and regional contract negotiations (such as client, subcontractor, and supply chain) to ensure risk reduction and business optimization.

  • Draft, review and negotiate contracts. Ensure contracts follow legal, regulatory and company policies. Manage system to track master contracts.

  • Collaborate closely with internal teams for contractual preliminary legal notices, liens, lawsuits, and contract claim compliance, administration, and recoveries.

  • Develops and maintains policies and procedures as needed, such as document retention policies and federal contractor procedures.

  • Reviews any documents or policies related to federal contractor procedures.

  • Provide contractual resolutions by identifying legal solutions and recommending a course of action.

  • Research, analyze, and deliver concise legal briefs to leadership, organizational management, and external counsel.

  • Cultivate strategies to avert potential contractual legal challenges.

  • Provide oversight, selection, management, and evaluation of outside construction contracts counsel. Nurture outside counsel relationships.

  • Conduct due diligence on potential business transactions, including corporate leases, owned real estate, acquisitions, and partnership agreements.

  • Draft, review and negotiate other legal documents, including real estate transaction documents (leases, real estate purchases, etc.) and other agreements (restrictive agreements, etc.).

20% General Legal

  • Keeps abreast of federal and multi-state legislative changes that may affect the company.

  • Maintains oversight and control of legal budget and spend.

  • Provide training to ensure employees are knowledgeable regarding compliance and relevant legal topics.

  • Examine legal data and determine advisability and/or risk associated with defending or prosecuting a lawsuit.

  • Collaborate with the leadership team on overall risk management of the company, including policies, maintenance of risk management controls and procedures.

  • Always represent the Company in a professional manner both internally and externally. Follow the published processes and comply with, as well as enforce, all company policies and procedures. Be an ambassador for the businesses.

  • Willing and able to travel nationally.

  • 2 years as general counsel for a commercial construction general contractor or subcontractor

Knowledge/Skills/Abilities

  • Experience drafting and negotiating a wide variety of contracts and legal documents.
  • Ability to direct and manage multiple projects in a fast-paced, deadline-driven environment.
  • Capacity to translate complex legal issues into easy to comprehend concepts for firm employees, management, and leadership.

Minimum Qualifications Education/Experience

  • 5+ years of general counsel experience, construction preferred.

  • Juris Doctorate (J.D.) from an ABA accredited law school and membership in good standing to at least one US state bar. Licensed to practice law in at least one jurisdiction in the United States with eligibility to obtain a license to practice law in the state of Colorado using the single client license. Current licensure in the state of Colorado or California is a plus.
