The Role:

This role will report directly to the General Counsel and will be a key member of the Legal

Department. This role will work closely with all aspects of the business, including Finance, Accounting, Tax, Sales, Operations, Human Resources, and Real Estate.

What You’ll Do:

Corporate Securities

  • Provide legal counsel on fundraising and capital market transactions, including public

and private offerings and debt financings.

  • Draft and review securities-related documents.
  • Collaborate with internal and external stakeholders to facilitate successful

transactions.

Mergers and Acquisitions

  • Provide legal advice and support in connection with mergers and acquisitions.
  • Review, draft and negotiate core transaction documents including purchase

agreements, transition services arrangements and ancillary documents.

  • Handle due diligence on complex transactions.
  • Ensure all appropriate internal stakeholders and functional partners are engaged in

reviewing and mitigating transaction risks.

Corporate Governance

  • Support the Board of Directors and executive management in matters related to

corporate governance.

  • Assist in preparation and review of Board of Directors and Committee materials.
  • Advise on best practices and emerging trends in corporate governance.

Contract Negotiations

  • Draft, review and negotiate a variety of contracts, agreements and legal documents

related to the Company’s operations.

  • Develop and continue to improve templates for contracts that are used repeatedly in

our work process; create templates and playbooks to streamline cross-functional

collaboration and raise awareness on relevant issues and processes.

  • Ensure that legal risks are appropriately identified and mitigated in contractual

relationships.

Compliance/Risk Management

  • Identify legal and regulatory risks associated with the Company’s operations and

develop strategies for mitigation.

  • Collaborate with other departments to implement risk management policies and

procedures.

  • Ensure compliance with the Company’s policies and procedures.
  • Human Resources
  • Negotiate offer letters, consulting agreements, retention agreements and equity

grants.

  • Handle termination related matters.
  • Real Estate
  • Negotiate sublease agreements.
  • Litigation
  • Assist General Counsel in dispute resolution and complex litigation matters, including

drafting legal pleadings, managing discovery, negotiating settlements, and managing

internal and external stakeholders.

  • Ability to work collaboratively in a fast-paced and dynamic environment.
  • Experience with public company matters and corporate securities, including SEC regulations,

compliance and reporting requirements.

  • Ability to draft clear, concise, and accurate legal positions to internal clients at all levels of the

organization.

  • Strong business acumen – the ability to be forward-thinking and innovative while

understanding our business needs and limitations.

What You’ve Done:

  • You have 7+ years experience as a licensed attorney, in a leading law firm and/or experience as a corporate generalist in-house.
  • Juris Doctor (JD) from an accredited law school; active admission to a state bar.
  • In-house experience, dealing with compliance, corporate securities, mergers and acquisitions, corporate governance, contract negotiations, compliance/risk management, human resources, real estate and litigation related matters.

Nice to Haves:

  • Public company experience, dealing with compliance, corporate securities, mergers and acquisitions, corporate governance, contract negotiations, compliance/risk management, human resources, real estate and litigation related matters
  • You have experience in a start-up company, including taking a company through IPO.
  • You have experience in the e-commerce/3PL space.
  • Preferably based in Houston, Texas, but remote candidates with relevant experience will be considered.
