Position Summary: Work with the Senior Vice President & General Counsel and other members of the Legal Department to provide the broad range of legal services required by Proximo’s growing portfolio of premium distilled spirits brands. Principal responsibilities will include drafting and negotiation of commercial agreements, review of marketing materials, advice regarding beverage alcohol compliance and other regulatory matters, intellectual property management and general corporate matters.

Position Responsibilities:

• Draft and negotiate agreements for (1) marketing matters, including agreements for marketing agencies, talent sponsorships, event sponsorships, trade marketing programs and intellectual property licensing, (2) operations matters, including supply chain and real estate agreements, (3) sales matters, including international distribution agreements, and (4) business development matters, including acquisitions and joint ventures.
• Review marketing materials, including social media, online advertising, print advertising, television advertising and press releases.
• Advise marketing and sales departments regarding compliance with state, federal and international laws and regulations affecting beverage alcohol marketing, packaging and distribution, and assist compliance department in obtaining and maintaining required licenses and other governmental approvals.
• Advise marketing and sales departments regarding trademark and other intellectual property matters.
• Provide guidance regarding privacy laws, data protection regulations, and cybersecurity requirements.
• Assist in the development and implementation of corporate policies, procedures and guidelines.
• Conduct training sessions and workshops to educate employees on legal and compliance issues.
• Manage corporate governance and related documentation.
• Manage outside counsel handling litigation and arbitration matters.
• Develop and maintain professional relationships with regulatory agencies and industry associations.

Position Requirements:

• J.D.
• 5+ years of law firm and/or in-house experience
• Experience in the distilled spirits business or the broader beverage alcohol industry a significant plus
• Strong business and commercial orientation
• Strong communication and interpersonal skills

The salary range for this role is a base salary of $130,000 - $190,000 along with an annual bonus, 401K match, and medical and wellness benefits. The range will vary if outside of this location. Base salaries are determined during our interview process, by assessing a candidate’s experience and skill set against internal peers and against the scope and responsibilities of the position.
