The position of Corporate Counsel reports to the Chief Legal Officer and provides legal advice and support for HFE and its subsidiaries, including contract review, analyses of agreements contracts, compliance, M&A due diligence, intellectual property, content production, music rights, and privacy issues. The position is responsible for providing legal advice and support for the business, ensuring the protection of the organization, and helping to drive our business strategies forward.

Key Responsibilities

  • Plans and directs legal matters of Herschend Family Entertainment and ensures maximum protection of its legal rights.
  • Provides hands-on counsel to all levels of executive staff and provides proper legal expertise for HFE divisions.
  • Responsible for identifying and analyzing legal issues, drafting key documents, presenting clear recommendations, and assuring legal compliance.
  • Responsible for managing outside counsel and controlling external legal spend.
  • The Corporate Counsel will be responsible for, or working with outside counsel in, providing legal counsel and advice in the following areas:
    • Corporate and Commercial transactions
    • Contracts
    • Compliance with Federal, State, and Local Laws
    • Intellectual Property
    • Legal Documents
    • M & A Due Diligence
    • Privacy Laws
    • Content Production
    • Music Rights

Qualifications And Requirements

  • Must have a Bachelor’s and Juris Doctor degree from a top quality, nationally recognized accredited college or university, preferably in top 25% of graduating class.
  • Must have at least five years’ experience as a practicing attorney
  • Must be able to demonstrate expertise in a variety of the field’s concepts, practices, and procedures.
  • Experienced in negotiating and drafting contracts.
  • Strong organizational skills with a demonstrated ability to manage multiple tasks, often within very quick turnaround time.
  • Excellent communication skills – both verbal and written.
  • Ability to work independently as well as within a team environment.
  • Excellent client relation skills.
