Job Description

Primary Responsibility :

Responsible for providing advice and ensuring the Company’s compliance with US Securities laws, NYSE requirements, corporate governance and other public company regulatory issues. Also, provides advice and counsel on potential company transactions. Other general duties include performing services for the company involving consultation, advisory, and document review and drafting activities and carries out the legal processes necessary to affect the rights, privileges, and obligations of the organization.

What You’ll Do

  • Assist with corporate governance activities including formation of new entities, drafting of consents and resolutions, and maintaining corporate records of several dozen subsidiaries.
  • Prepare listing applications, annual reports and other NYSE compliance filings such as periodic reports on Forms 10-K, 10-Q, proxy statements, Section 16 filings, Form 8-Ks and other public company disclosure-related materials.
  • Provide legal support on M&A, capital markets, financing and other strategic transactions as needed; and engage and manage 3rd party legal counsel when needed.
  • Prepares and reviews a wide variety of legal instruments and documents, primarily commercial agreements, services contracts and vendor agreements.
  • Supports business and sales groups in negotiating services scope, pricing, deliverables and other commercial terms.
  • Provides rapid, practical, business oriented legal advice directly to operational and corporate internal customers, including compliance with various laws and regulations applicable to warehousing and logistics operations.
  • Assists with preparation and review of leases, licenses, purchase and sale agreements, real estate instruments, LOI’s, etc.
  • Collaborate with and facilitate cross-team decision making among Legal and other internal teams. Performs other duties appropriate to the role, or as required or necessary.

What Experience And Education You Need

  • Juris Doctorate required from an ABA accredited College of Law.
  • 5-10 years’ experience; preferably obtained through a combination of in-house and law firm experience, but experience limited to a large to medium sized law firm will be considered.
  • Must be a licensed Attorney in at least one state and qualify under Georgia legal practice rules for practice as an in-house counsel.
  • Background in commercial transactions with demonstrated ability to negotiate and close commercial contracts.
  • Experience with mergers & acquisitions, securities law (including SEC reporting and national securities exchange compliance), capital markets and corporate finance preferred.
  • Ideal candidate has real estate investment trust (REIT) law experience.
  • Must have experience advising all levels of management professionals in mid to large size companies – preferably public companies.
  • Strong computer skills including knowledge of Microsoft applications and official databases such as EDGAR.
  • Ability to communicate effectively with a variety of contacts, including outside attorneys, senior management, and business associates.
